literally just recorded 20 minutes about this accounting and all this blue sphere new information this breaking news and i cleared off my drive so i could render this quickly while i took a shower and of course my idiot self deleted the whole thing so we're going to do this again but we're going to do this in two parts so i don't freak out and have like an implosion so i don't implode the first part we're going to talk about the financials in the second part we're going to talk about the financials too so we're just going to talk about all of it there is some breaking news with blue sphere just to contextualize this a little bit well first of all i'm not a financial advisor i'm just a fool with a computer that makes youtube videos about his favorite otc and penny stocks and that is what we're doing here and this one has been halted the trading has been halted and we have some financial information that has come out so we're going to look at that just to contextualize this the trading was halted and a lot of people i think took that to mean that this company is not legitimate this company from all we have found and from the multiple due diligence reports that we have is very legitimate it has operating and has been operating for quite some time and it has just filed to go dark years ago which is a very common practice in sec and stock trading land when you don't want to pay the enormous accounting fees to provide and administration fees to provide all your proper accounting and everything else like that to the sec so they just decided hey we're going to go dark and we're going to just not update the shareholders and not and not update the sec about our financials blah blah and there's a lot of reasons that they could do this i think that the consensus is was not a nefarious move it was just a money and account saving move what you see is that they have had some legal issues and if you look at the supreme court of the state of new york there is some summons between other companies and them and they owe some money and here is i tried to attribute this in the last video to the author but i think the author was deleted this is just about the claimant against blue sphere and basically there is a particular lawsuit that rack that said that blue sphere racked up money in two projects accounting and two projects and let me show you what that looks like here we go i had the actual document last time but you know we do the best we can so the it was a ongoing issue from per precise processes i don't know i can't ever say anything and they basically said a couple things and this is this is a point in the category of hey look this is a legitimate company and they're operating and but this is also a point in the category of um not good because it doesn't look like they have a lot of extra money lying around in my opinion so this company blue sphere is incorporated in nevada and people do that for a lot of different reasons they do that so they could hide the corporate interest if i incorporate an llc in nevada i do not have to tell you who owns it like many other states you have to declare the members of your llc but in nevada you can opaque that you can just have a registered agent on file and that's it that's what everyone knows so no one really knows who owns a company if you do it that way and also there's some tax advantages for filing in nevada nevada is a very safe state for llc's oh look at that lighting much better okay so this company is alleging that they helped out blue sphere with two projects one in mecklenburg county in north carolina which is where they are charlotte north carolina we've talked about that and the other one in rhode island which is where this other factory is that they have in the u.s they said after the agreement was finalized the plaintiff argues that both the nc and ri projects received financing and that pursuant to the agreement plaintiff is now owed its financing fee of 1.6 million and that's 800 000 to the rhode island project fee basically they have not paid this and all the only reason i point that out is because that is something to look at when we are talking about is this company going to file and pay the money to file everything they need to with the sec to get back to trading on march 11th or are they not so that is what we're looking at there and these are the first half of what we're going to look at are construction reports in budgets from the construction period now i know this is from last year sorry guys i have a hard time remember what i said in this video versus what i said in the last video the last video was so good too it was one of my best anyway um this is from last year so this is not the entirety of what the sec would need at all by any stretch of the imagination however this does show some accounting so i think some of the people that have seen or doubt the validity of this company are finding this very useful but i mean we've known that this company has been operating and we know that this is a company i mean it's just a it's just a real company there's been tons of due diligence there's been pictures there's been emails telephone calls blah blah blah but let's look at this and let's define some things so this is per uh project per plant so name a plant and there's a lot can you see this highlighted okay name of plant so each of these are going to be different plants and the budgets within the different plants for the month of august 2020 and then it's going to have a larger macro 20 year to date so let's look at these terms so our first time we have o m right here well not our first sign we have average cost of feed stock and the electricity the electricity production basically that's what they can sell that's how much they're producing and then the average cost of feedstock is what they are using to make this happen so i kind of look at it as like um inputs and outputs and also how much the like cost of goods are so like if you're flipping a house the paint would be like what the feed stock is and this is all in euros so do your own accounting so o m o and m is the other line that we see it's operations and maintenance and it means the functions duties and labor is associated with the daily operations and normal normal repairs and they have these set aside for each plant which makes sense because all these plants are complex structures that have quote unquote innovation innovative technologies in them and they need to be constantly maintenance anytime you have a material structure there's depreciation and there it which you would find in financials too actually when you have real estate you take um depreciation i assume it's the same on commercial but anyway you have all these operating expenses and things that can just break down the structure so to have an o and m budgeted for things like that is what they're accounting for here and then we have the ebitda and that is just something that kind of keeps all companies able to be looked at the same right like they'll have a you'll have an ebitda for every company and it helps people value the company it helps compare companies it's the earnings before interest taxes and amateurization it's a measure of the company's profitability used by investors it's helpful for comparison for one company hey i just said that to another in the same line of business in some cases it can provide a more accurate view of the company's real performance over time so this is they have an ebitda for each site in each factory you can see these numbers right here i'm not going to go into those numbers because i don't have proper knowledge about commercial eva does to even speak on it but i do want to touch on this is the other plant right here and then they had the feedstock consumption they just broke that down exactly what that is and the price um rice floor which i assume is rice flour but i don't know that's expensive so good to know if we go into the biogas business all right and so then we have this by the other plant door door no so these are the financials from all the plants now when filing with the sec this would just be a small part of it i'm going to touch on what this is and how how this gets teeth and then i'll transfer over the rest of this report because we're only about halfway through to the next video so bluesphere is building the biogas installation of bluespear and stertskill which we talked about which is over in europe for this project finance has been supplied by the bng bank as a lender and we already talked about that in the last due diligence video being managed by that agent it was commissioned by blues period to act as the lender's technical advisor the lta prepares a monthly construction report which is these documents that we're just looking at this is the 15th construction report covering august 2020. the execution phase was started back in 2019 when it issued the full notice during july and august the illness can't say that on youtube impacted and declined further this construction report is intended to answer the obligations as formulated in the facilities agreement dated march 14 2019. once again just a small piece of the broader bigger picture overview of reduction data details of estimated increase in construction cost so these are all important numbers to know detail of any unscheduled suspensions of work and here is a progress report i'm not going to touch on that since that already passed but once again this is just all really important information for people that are doubting like the validity of this company i mean this is just god for them to go through if this was fake after all this then i mean then take my money because that's just insane with all the due diligence they were able to fake and all the pictures they're able to fake and all the blah blah blah blah by that time it'd just be cheaper and easier just to start start the dang company but here's some stage of construction and milestones of construction which is always important in timelines i'm from the house flipping uh space that's what i do for a living and so they we have timelines too and construction timelines so it just kind of keeps everybody up to date on this now let's get into the other financials here but we're gonna do that in the
