As a startup founder of three years our legal housekeeping is a bit of mess, how can I best setup a system to organize and track
As a startup founder of three years myself, I can relate to how legal housekeeping can be messy. Once a year, I have our own lawyers go through and do an audit of all of our legal paperwork (which costs a couple thousand dollars to be extremely thorough, but it’s worth it). Luckily, there are now many ways to easily manage and track all of your legal, financial, and HR documents via third-party sites that specialize in these management proceedings. I wrote a blog post about this awhile back titled “5 Ways to Save Time Dealing With Documents” which highlights certain sites that can be very beneficial depending on what paperwork you’d like to track or manage. They are as follows:1. GroupDocsGroupDocs is a new, comprehensive online service for document creation and management. It has multiple features, including a viewer for reading documents in your browser, an electronic signature service, an online document converter, a document assembly service, a feature for comparing different versions of a document, and an annotation feature. An individual plan is $10 per month for limited storage and 500 documents, while a group plan for up to 9 people is $19 per user per month. Based on the number of features and pricing, GroupDoc is a good-value purchase for a small business. As you’ll see below, GroupDocs can be cheaper than a service that offers only one such feature.2. signNowWhen you’re closing a deal and need to get documents signed, the last thing you need is a slow turnaround due to fax machine problems or the postal service. The solution is to use an electronic signature service such as signNow, which is one of the most popular e-signature companies in the world. This service allows you to email your documents to the person whose signature you need. Next, the recipient undergoes a simply e-signing process, and then signNow alerts you when the process is completed. Finally, signNow electronically stores the documents, which are accessible at any time. As a result, you can easily track the progress of the signature process and create an audit trail of your documents. The “Professional” plan is recommended for sole proprietors and freelancers, and costs $180 per year ($15 per month) for up to 50 requested signatures per month. The “Workgroup” plan is geared towards teams and businesses, and it costs $240 per user per year ($20 per month per user), for unlimited requested signatures.3. signNowsignNow is another e-signature service. Similar to signNow, signNow allows you to upload a PDF file, MS Word file or web application document. Next, you can edit the document, such as by adding initials boxes or tabs, and then email them out for signatures. Once recipients e-sign the document, signNow notifies you and archives the document. signNow offers low rates for these services: a 1-person annual plan with unlimited document sending costs $11 per month. An annual plan for 10 senders with unlimited document sending costs only $39 per month.4. ExariExari is a document assembly and contract management service that assists in automating high-volume business documents, such as sales agreements or NDAs. First, the document assembly service allows authors to create automated document templates. No technical knowledge is required; most authors are business analysts and lawyers. Authors have a variety of options for customizing documents, such as fill-in-the-blank fields, optional clauses, and dynamic updating of topic headings. They also can add questions that the end user must answer. Once you send out the document, the user answers the questionnaire, and Exari uses that data to customize the document. Next, the contract management feature allows you to store and track both the templates and the signed documents. Pricing is based on the size and scope of your planned implementation, so visit their website for more information.5. FillanyPDFIt’s a hassle having to print out PDF forms in order to complete them. Fortunately, FillanyPDF is a service that allows you to edit, fill out and send any PDFs, while entirely online. This “Fill & Sign” plan costs $5 per month, or $50 per year. If you subscribe to the “Professional” plan, you can also create fillable PDFs using your own documents. With this service, any PDF, JPG or GIF file becomes fillable when you upload it to the site. You can modify a form using white-out, redaction and drawing tools. Then, you can email a link to your users, who can fill out and e-sign your form on the website. FillanyPDF also allows you to track who filled out your forms, and no downloads are necessary to access these services. The “Professional” plan costs $49 per month, or $490 per year.Switching firms can be a hassle. As a former startup attorney, I have a bit of advice about finding the right attorney for your business: it’s best to focus on the specific attorney you’ll be working with. He or she should have a solid understanding of the ins and outs of your business industry, a deep knowledge of the legal issues your startup may face, and previous work experience with startups to ensure a quality and efficient work product. This is absolutely key when matching our startup clients at UpCounsel to attorneys on our platform who can perform their legal work and hash out their legal projects in a timely manner. We also allow clients to store any and all of their legal documents directly on UpCounsel so they don’t have to go searching in alternative places for the correct paperwork. It’s proven to be a free and lightweight way to store legal documents that our clients love. Here's what it looks like:As I’ve mentioned, it’s more important to find the right attorney as opposed to the right law firm. And seeing as you’re a startup, our own startup clients typically save an average of 50-60% on their legal work, since the attorneys don't include overhead fees (a.k.a. the fees included for doing business with the firm itself) in their invoices.Hope this gives you a deeper look into what other sites and services are out there. If you have any questions or would like more information on how best to handle your legal housekeeping/ attorney matters, feel free to signNow out to me directly. As a former startup attorney at Latham & Watkins, I’d be happy to give you some guidance.

What are some rare unknown facts about Chhatrapati Shivaji?
|| जय भवानी जय शिवाजी ||Shivaji Maharaj was the founder of the Maratha kingdom. Born on 1627 AD at Shivneri near Pune, Shivaji went on to become a Maratha hero who gave the Moslem invaders a tough time. His father Shahaji Raje Bhosale was in the army of Bijapur Sultan and he grew up under the care of his mother Jijabai and Dadaji Kondadev, his guardian. He Built a Powerful Naval ArmyShivaji Maharaj at a very early stage realized the importance of Naval force. He not only protected the Konkan coast from the pirates but also made sure it remained independent from foreign invaders including the Dutch, Portuguese and the English. What’s more, he also built naval forts at Jaigad, Vijaydurg, Singhudurg and other places. He also had four different kinds of warships including Manjuhasm Pals, Gurabs and Gallibats. It was Shivaji who formed a Professional Army of MarathasBefore Shivaji came in force, there was no proper Maratha army. It was Shivaji Maharaj who formed a formal army where several soldiers were paid throughout the year for their services. The Maratha army was divided into several units and each unit had 25 soldiers. The 25 soldiers reported to Havaldar who then reported to Jumladar. Both Hindus and Muslims were appointed in the army without any discrimination. At the age of 15, Shivaji Acquired Forts by BribingWhen Shivaji was only 15 he bribed Inayat Khan, a Bijapuri commander to hand him the fort of Torna. Next, Shivaji also got the possession of Kondana fort after bribing an Adilshahi commander. Besides, the commander of Chakan fort became a Shivaji loyalist. Seeing Shivaji as a threat, Mohammed Adilshah imprisoned his father Shahaji Raje. Later Shahiji was conditionally released. The Combat with the Mighty Afzal KhanShivaji is known for his combat with the Adilsahahi general Afzhal Khan. Both of them were supposed to meet carrying only a sword with just one follower. Shivaji speculated that Afzhal Khan would attack him so he wore armor beneath his dress. Different accounts narrate different stories as to who initiated the first attack/ However, it is interesting to see how a small man both in built and size could easily defeat and kill the huge general Afzal Khan in a combat.Shivaji Maintained Peaceful Relations with MughalsShivaji maintained peaceful relations with the Mughals. In fact, Shivaji even offered his assistance to Aurangzeb for capturing Bijapur. In return he was guaranteed formal right to the forts and villages which were under his possession. However, things started deteriorating when Shivaji’s officer raided areas near Mughal Territory of Ahmednagar and later in Junnar. Soon, even the Mughals retaliated by raiding Shivaji’s territory.Shivaji Had to Fight with His Half Brother VenkojiAll the negotiations made by Shivaji with his half brother Venkoji failed and this is the reason why the two brother fought each other in 1677. However, Shivaji defeated Venkoji and took most of his possessions. Later, Venkoji’s wife Dipa Bai made new negotiations with Chhatrapati Shivaji Maharaj and even convinced her husband to stay away from Moslem advisors.

What do pro-choicers think of third-trimester abortions?
First, the child has a “head and limbs and everything” much, much earlier than the third trimester. So if the criteria is that a fetus with “a head and limbs and everything” should not be aborted, the period of time when abortion is okay would have to be before 8 or 9 weeks or even earlier, depending on your perception of what constitutes a “head and limbs”. The little buds and the little webbed looking hands are seen by 8 weeks, along with the large (seemingly) misshapen head that will envelope the amazing human brain.I personally believe that the fetus is not conscious until around the 24th week of pregnancy. (I came up with this general time frame from reading about neurology, consciousness, and fetal development; a complex topic that I won’t detail here.) I don’t believe the fetus feels pain when aborted before about the 22nd week. Although it is heart-wrenching to watch images of the fetus (reflexively) attempting to escape abortionist tools. They jerk and pull away, as all living things seek to preserve their lives. However, as I said elsewhere, that to me being unconscious does not mean a living being does not have rights. I recently had surgery and was unconscious for the procedure. I could have been terminated and not felt it or known about it, but that wouldn’t have made it morally right.Very few abortions are done in the third trimester. Few doctors will do them. When they do occur it is often because the fetus is so seriously deformed and would not survive the birth process anyway. (But since your question is about having a head and limbs, we needn’t stick to the last trimester in our discussion.)Abortion is not legal throughout all three trimesters in most states. Many states have limits of between 20 to 24 weeks, some even earlier. But even at 12 weeks, yes, there is a very human-looking being with a little head, arms and legs and visible, although still ambiguous, genitals.I don’t know what “pro-choice” people think about very late abortions. Some may have an arbitrary timeline in their own mind as towhen the baby is too human to deprive of its life, and others follow the “gospel of choice”. The gospel of choice is that any and all rights an unborn person has are null and void because the rights of the mother trump them. Once the infant is born and takes a breath, then and only then can humanity be ascribed to them. Here is an interesting video in which a (former) fetus speaks of surviving an abortion attempt:I must say, I am suspicious of your claim to be pro-choice. Forgive me if I am incorrect in my suspicions. Frequently, posters on this forum will pose as pro-choice and ask innocent questions meant to provoke the discussion on Quora. It is futile to try to dissuade most pro-choicers with these ethics questions.Of interest, there are many former pro-choice warriors who have struggled with the issue and have jumped the fence. Notable is Dr. Bernard Nathanson, the abortionist who may have done more than anyone else to make abortion legal as one of the key figures in the work of the National Association for the Repeal of Abortion Laws. (NARAL) . His turnaround was so radical that he went from an atheist to a Catholic and spent his remaining years fighting abortion. I have not been able to find online recently his breathless deathbed plea for unborn life, but this obituary provides his perspective. B. N. Nathanson, 84, Dies; Changed Sides on AbortionOther well-known figures include the “Roe” of “Roe versus Wade”’ Norma McCorvey, who changed her mind and spent decades as a prolife activist Norma McCorvey on becoming pro-life (1998) - CNN Videoand Abby Johnson, the former director of a Planned Parenthood. AbortionWorkerOf course, these mind-changes have no effect on discussion with true-believing pro-choice people; such people are seen only as turncoats. If the “gospel of choice” community responds at all, it is usually in the form of attack or attempts to discredit those who have jumped the fence. For those who have a grain of doubt in their position, who are troubled by the fetal attempt to squirm away from a sharp tool, then perhaps the reasons these pro-choice icons became turncoats may be interesting. But they will not interest those who have no doubts.I will provide here links to two videos showing fetal life. One is a miscarriage, and the other is labelled as an abortion. I don’t believe the moving fetus is an abortion, despite the claims of the person who posted it. The medical personnel are speaking a language I don’t understand, but you can hear tones of sadness as they discuss the little fetus, and further the fetus is not damaged in anyway, so likely this is footage of a natural miscarriage. This is graphic, but not gory, it is merely a fetus moving a little bit as it dies because it cannot live outside the womb. This fetus is too young to try to breathe or have any pain or consciousness. I am estimating that it was born early in the second trimester. If you are sensitive, it may be too alarming to watch. I am sorry about the banner “Abortion is Murder” and so on. but this is the only video that shows the miscarriage of a fetus of this age that I can find. I don’t think all the “murder” talk and the accusations help the discussion. Anyway, this is not a third trimester baby by any stretch of the imagination. It is likely 14 to 16 weeks and yes, there is a head and legs.I want to also add that I don’t think that reversing the Supreme Court decision regarding the right of women to terminate their pregnancies will help anything at this point.I am more interested in being free to talk about human life with those who have doubts and to explore addressing the cultural effects of the legalization of abortion. For instance, there are movements such as Feminists for Life and other secular prolife movements who offer a different perspective from the religious dissenters and the “gospel of choice” movement. secularprolifeYes, the Supreme Court has spoken. But no law has been enacted that prevents thoughtful people from re-examining and conversing about the disquieting questions that the theme of abortion gives rise to.

What kind of e-mails irritate professors the most?
Many. Those rejection letters (we get plenty of those) and collaborators not honoring their commitments to common projects are particularly bad. However, I get the feeling you’re referring to student-initiated emails. I agree with Joshua Gross’ list. Other than that, here are a few types of those I find irritating.Disrespectful, juvenile, text-message-like, titleless emails. Your email must have some basic structure, including hello, your name and course, and a question/comment. At the end, say goodbye. Also, mind the style a little. I’m really not your mate. If you don’t include a title I won’t respond.Emails that ask about something that is clearly stated on the syllabus. If you do this, (i) I’ll simply email “that information is in the syllabus” and (ii) you will look careless and unengaged. Don’t be that person.Emails that are excruciatingly long. Please, don’t do this to me. I’m sure whatever you’r trying to say could be synthesized in four sentences.Emails sent from private accounts (gmail, yahoo, hotmail…). Because of legal reasons, communications with students are best kept on the university’s server. You have an institutional email. Please, use it. This applies to my own students and students from my university, particularly when submitting assignments and discussing grades and other sensitive educational issues. If you're emailing me because you want to apply to our graduate program, and you do this from a gmail account that's completely fine.Emails asking about the homework. I’m not your secretary nor your father. Don’t ask about the homework because I will not respond to your email and bring this issue to everybody’s attention next time we meet in class.Emails that are too personal and explain issues that should be presented face to face, during office hours. Life happens. I know. Leave the deep stuff for face to face conversations if possible, and only bring them up if you think I really must know. I’m happy to listen, but I’m a linguist, not a psychologist. I can tell you who to contact if you need help.Emails that come after the final grades have been posted (asking for extra credit opportunities). Once the grades have been rolled up, they’re official. No, you can’t read a book and submit a synthesis for one extra credit now. It’s December 18th!Emails from parents on behalf of their children (who are my students). One word: FERPA. In other words, “Sorry, I can’t discuss any of this with you, helicopter mother of a 22 year old”.Emails asking about something I have announced on Blackboard/CANVAS. This is quite self-explanatory. Like the message I sent on Blackboard/CANVAS.Now, having said that, I understand you are a student. You’re learning. Part of that learning includes email interactions. I won’t be offended by your email, even though it might frustrate me a bit. I’m actually glad to point you in the right direction.

What do physicists think of Abhas Mitra?
Dr. Abhas Mitra is an Indian astrophysicist who has received quite a bit of media spotlight for his claim of having solved the famous black hole information loss problem. He has a fairly large following among younger Indian students. However, mainstream physicists in both India and elsewhere do not take his claim seriously.I am not an astrophysicist and cannot comment on his work in astrophysics. However, most physicists (including myself) consider the solution to black hole information loss put forward by Mitra to be not only incorrect but incorrect at a very elementary level. Mitra’s solution is itself quite elementary. It does not even go into the paradox, which is deep and subtle, but simply claims that black holes don’t exist. At the basis of this claim is nothing more than a common confusion that many physics students have when they first learn about black holes.Mitra has tried to back his claim up by some calculations. I had written an answer couple of years ago explaining exactly why they are mistaken. A first year student of science or engineering should be able to see why it is wrong. I believe someone later published a paper making the same point.Dr. Mitra is known to be a staunch and indefatigable defender of his claim, so most people don’t think it is worth their time to engage.I can see that the story of an Indian physicist upstaging famous names like Hawking is an attractive narrative that feeds into our patriotism, but it is a really inaccurate one. It is not possible to solve something as deep as the black hole information paradox using undergraduate level knowledge. Someone would have solved it otherwise, the field is full of exceptionally talented individuals. It is really the fault of the media who don’t do their due diligence before publishing such claims. If they had spoken with any of the Indian experts on General Relativity, like J.V. Narlikar for instance, he would have set them right. There’s no dearth of real achievement by Indian theoretical physicists but unfortunately the media ignores these and goes for hype. Ashoke Sen is widely regarded as one of the top string theorists in the world. In the subject of black hole information loss paradox itself we have people like Samir Mathur and Suvrat Raju who are working at the cutting edge of the subject and have already contributed richly to it. They have proposed different solutions to the paradox and even if one or both of the proposals turn out to be incorrect we will have learned much from them. These are deep and sophisticated papers which serious people take seriously. But they are never covered by the media.Suvrat RajuSamir Mathur

Why are railguns often portrayed as a better way to intercept maneuvering hypersonic threats than interceptor missiles?
There are several factors that go into this, there are pros and cons to both systems, to a military planner the pros of the rail gun out weigh it’s cons. Only time will prove if they are right or not but I will try to explain.Defensive Vs Offensive load, There is only limited launcher space on any ship regardless of how many missiles it has in storage. So lets say you have 20 launchers in your ship, vertical launchers are becoming the norm. Even though you have 100 more missiles of whatever mix you want in the hold, your 20 launchers have what they have in them and it will take time to swap them out. (Hopefully some USN personnel on here who have served on a DDG or similar can let us know how long) I’m guessing at least an hour. Some missiles can be dual use like an anti-missile-Missile can be used in the anti aircraft role, but a Tomahawk or any land attack missile simply cannot. Every tube you have filled with a missile to perform your mission is a missile you cannot use for defense, every missile you have loaded for defense, can’t be used for your mission. The rail gun uses a solid mass of metal, you can use it to devastating effect against air, sea, or land targets without worrying about carrying different loads. I imagine a flechette round would be used against missiles and aircraft, but it doesn’t matter, you can switch ammo types in seconds. With railguns as point defense, you are free to have the majority of your missile tubes loaded for the mission and only a minimum with defensive (AA or AM) missiles.Immunity to counter measures: The railgun is a line of sight weapon, if you can see it, you can hit it. Once radar contact is made and the gun aligned, powerful optics will be used to line up the final shot. at 2.4 kilometers+ a second- nothing can really affect or stop the projectile. If the shot is lined up properly, the target is dead, no amount of chaff flares or ecm can do anything once the projectile leaves the rail.Cost. The Major cost of the system is in the gun and the guidance and aiming systems require only maintenance when bought, The Projectile is just a hunk of machined metal, I imagine the ship’s machine shop will have the ability to fabricate more in an emergency. No propellant needed (more on that later) A missile has to have a warhead, a motor, navigation and avionics which is all one time use, the launching and guidance on the ship are not cheap either so while the up front cost of the railgun will be higher, that changes quickly after a few shots.Safety. That warhead and rocket/jet fuel in a missile infinitely more deadly to you before you launch as it is to the enemy. Anything that touches off that magazine (accidents, malfunctions, enemy fire) will likely be catastrophic. The inert projectiles of a railgun are immune to that. The rail-gun itself if charged might pose a small danger if damaged while charged, but that will be like a transformer box blowing up outside during a storm (happened to me when I was a kid during a hurricane) While it was loud and scary to 11 year old me 20 meters from my house, it did zero damage to the house and didn’t even knockdown the telephone pole it was on, Had that been a modern AA-or AM missile 20 meters away, I and my house would likely not be here today.Close in defense: You can use the rail gun up to the point an enemy missile hits your ship. A vertically launched missile needs to clear the ship arc towards its target and fly towards it. This all takes time meaning that depending on the speed of the incoming missile, you have a radius where if you haven’t launched yet, there is nothing you can do. So let’s say you have a ship with a rail gun and one with only missiles. Both are engaged by missiles with a 4 second flight time. It takes 2 seconds to identify and track the target and come up with a firing solution(I have no idea how long it really takes but I’m pretty sure the human reaction time to authorize the launch of a $500,000 missile is more than that). the 2 seconds remaining are not enough, the missile will just be clear of it’s tubes and arcing when your ship gets hit. The rail gun ship still has time to get one or two shots off, Even if it hits the Missile right outside the hull, that is preferable to having it go off INSIDE your hull.Like I said before, having the rail gun doesn’t stop you from carrying defensive missiles for BVR/Over the Horizon, engagements.

How does one teach a lesson to the police official who demands a bribe for passport verification? It is commonplace in India for
This is how I got my passport without paying bribe -I knew that my friends in Institute were paying bribe to the police verification officer (PVO) as the PVO used to threaten them to forget the passport or delay it if they resisted.I talked to my friends who paid bribe,Many felt that it is very common to bribe and most of them were afraid of consequences.AFRAID ?? of what?? are we doing something wrong by not paying bribe?.It is PVO who should be afraid for shamelessly asking money. Then I decided to put an end to all this. When PVO came for my verification,I was ready with two recording devices (mobile and Tab) placed at two locations in my room and turned them on as soon as he entered my room.PVO:(came and sat on chair) You are the one, Show me the documents.Me :(showed all the documents and signed at required places.I spoke little louder all the time)..When he bunched all the documents...Me: Please check whether all documents are correct or not (I wanted to record him saying everything was right).PVO: Yes everything is correct..Then came the moment I was waiting for..PVO: Give 500 RsMe: Why?PVO:Its the fees you should pay.Me: If it is fee then give me receipt.PVO:(obviously didnt expected this..Started looking at bag for receipt which he donot have).PVO:I will give receipt tomorrow.Pay now.Me: No way.I wont pay.PVO: Ok then I will leave, lets see how you will get your passport (He said this indirectly).Me : I have recorded entire conversation and you will be in trouble if my passport donot arrive in time.PVO: (started to move out) I am not afraid of anything.(Though he was visibly afraid)..he left the place...I immediately wrote a mail to district collector and deputy collector seeking an appointment and was also ready to visit SP office as I knew that most corrupt people are cowards from inside and a warning from higher authorities will be enough to stop them.I knew very well that I cant stop PVO from taking bribe everywhere but I can make a difference by stopping him from taking bribe in my Institute.Everyone needs to do just that to make India corruption free.Influence our surroundings and ensure that we are making enough effort to stop corruption. If we cannot do that, then donot blame the corrupt system as we will be part of it...And my passport verification report was submitted in a day to passport office and is currently getting printed.
