in for this video today we're gonna talk about how do you set up a business in Ohio how do you get it set up with structure your name registered tax those kind of things there so this video will be focused on those things not on you know how do you you'll get your business plan how do you figure out if your idea has merits you know how do you execute on finding customers those kind of things there we'll address those in in future videos this is purely how do I make sure when I set my business up I've done it correctly and what are those steps to make that happen that's probably one of the most often questions I get from my clients is you know how do I assure that I'm done these steps right or how do I do them to make sure I'm legitimate make sure I comply with all the regulations you'll tax kind of things the regulations are set up by state federal local legislation so there is sometimes some perceived challenge in assuring that compliance which is understandable when I'm talking with someone with an idea they want to pursue for a startup they're often concern about this because they don't want to get in trouble right you know I mean having a business and getting it going as a challenging enough you don't want to you know have tax folks here anyone else after you still make sure you start out on the right foot and do it correctly and you also got to protect the business's future interest as well as you know your customers that you end up having and laying that Slavic foundation the beginning frees you to direct your energy and make great strides in your business venture the Ohio SBDC centers across the whole state of Ohio can also walk you through this process from start to finish typically in one meeting most a lot of us have done it for you so many times that it's it's kind of second nature for us to help you with that process so that's something that most anyone in the state of Ohio for the SP you see program can help you with I do want to preface this video with any anything I'm talking about even if it you know if it sounds legal I'm not giving legal advice I'm not a licensed attorney so anything that you think you have legal questions on should be consulted with a licensed attorney in the state of Ohio first thing you should do is download the startup guide that we have here in Ohio on the business side oh hi Oh gov webpage it's a great guide really thorough but not crazy long it's well-written very easy to understand it doesn't have a lot of government kind of jargon if you will so it's pretty entrepreneur friendly they've done a really great job on this guide and you know it's visually appealing as well so that's the first thing I want you to do is just have that guide handy and it walks you through a lot of these things that I'm talking about as well and it also goes into some other stuff too but that's the first thing one wants you to do is to have that guide handy and again it's free to download so the first step in getting your business set up in Ohio is deciding what business name you want to call this new venture of yours so you want to narrow it down to a couple couple names you might have three or four that you're trying to decide from kind of narrow it down to a couple that you like it's always good to match a domain name to even before you name the business doing that so figuring out what that business name is gonna be so once you've got one or two names that you like you got to figure out is it available can you use it can you register that name and to figure that out you would go to the Ohio State Secretary of State's website and they have a search query on there where you can put the names in there do the search and figure out if that's available or not so that's step number one step number two is once you've gotten that name done now it's setting up your legal entity figure it out what type of business structure you're gonna have for your business so in Ohio we have you know multiple choices just like probably most the states do we have LLC we have US Corp C Corp you know different types of partnerships there's nonprofits things as well which I will not be talking about today but typically it's gonna boil down for most most folks to LLC and maybe you know C Corp arrests court typically we kind of like the LLC at least for legal structure taxation could be something different so anyway so it for you it would be figuring out what's the legal structure you want to go with and then from there go and go ahead and file in that legal structure which can be done online through the Ohio State Secretary of State's website there so the instructions are on there where you go file online and submit a business filing and it's gonna walk you through the steps there as well if you have any questions on legal structures that business guide I mentioned in the beginning does have a breakdown of the legal structures as well so so that's step number two is to set up your legal structure and I want to mention all these steps are in order of the ones you want to do so because they all each one kind of depends upon the next if that makes sense so step number three after you've done the legal structure you've picked the name you set the legal structure next thing is you need that business tax ID number which is called the ein it's your employer identification number even if you're not going to hire anybody in the near future you bets it's still the number you're gonna have it's essentially again your business tax ID number that separates you and your SS number from the business so that's the third step pretty easy to do this and again you want to do this after you've done the the legal structure whichever one you choose and you go to the IRS website there and it's all online and cool thing is to get your tax ID number instantaneously so as soon as you follow the steps might take 10-15 minutes or so you get your tax ID ID number right away so that's step number three step number four is to go to the first stop business connection and download whatever you know for whatever industry that your business is going to be in choose the industry and download your essentially your kind of one or two page form that shows any any licenses anything that you might have to have that might be out of the ordinary for your kind of business so certain types of businesses might have licenses and might need permits that other ones don't so a lot of home-based businesses probably won't need anything on top of just having your legal structure and your EIN number step number five is part of the step number four where you look at those licenses and permits that you might have I have to get from the first stop business connection so on our slide here I list as two examples that I downloaded here one is on restaurants and one is on tutoring services so if you're a restaurant you're going to need more licenses and permits than you would for a tutoring service so let's keep that mind there may be things that you might need for licenses and permits and also things you may need to ask local authorities about as well step number six is determining if you need that get a vendors license for your business so abundance license allows you it requires you to collect sales taxes in Ohio on things that are taxable so most all products that are you know are tangible with you anything tangible typically is going to be have a sales tax charge on it that you're selling but there's also a lot of services that are sales tax you have to charge sales taxes on as well so you want to make sure whatever you're doing doesn't fall under something you're required to collect sales taxes for which would therefore you would need to get a vendor's license so again if you're a service don't think you don't have to collect sales taxes you need to double-check so to find out if you needed to get a vendor's license you would go to the ohio department of taxation website kind of highlighted the areas there on the slide that you would look at and if you do need to get a vendor's license then you're gonna go through the ohio business gateway create your account and you'll get your vendors license there it's $25 though no big deal there if you're just starting out you you should select to be a don't select to be a monthly filer selected ba-bye annually twice a year filer that way because if you if when you get a better the license even if you don't have any sales for this so you get it right away you don't have sales for you know three or four months if you get a if you select as a monthly filer you still have to file that sales tax return with zeros of course but if you don't file that they're gonna send you some letters wondering why you haven't filed and you know you'd say you want so either way when you get the vendors license it's going to trigger you have enough file sales tax returns even if you don't have sales so keep that in mind step number seven in singing at setting up a business in Ohio I mentioned this earlier when you're selecting the name part is and this isn't required this is kind of the recommended part here so getting a domain name or names for your business so it's a great time when you're going through that set process to make sure you can match a domain name or maybe you know maybe two two or three domain names for your business and sometimes that you may look at the domain names at the same time that you're choosing your business name to make sure those those things can kind of marry up that makes sense so there's multiple places you can get a domain name at I have GoDaddy on the screen here in Bluehost domain names typically are pretty cheap at least for just ones that are available if there's one that's a premium that someone already has and they're kind of sitting on it's gonna be pricey but there's plenty of you know available domain names that you can get and again they're they're very cheap so highly recommend that you do that during the startup process that we got those there you don't doesn't mean you have to set up a website right away but at least you got that domain name or names done so step number eight and this is these things here aren't necessarily required these are things that are I highly suggest other actions that you should do so an operating agreement for your business even if you're just a one-person company it's good to have that operating agreement just you know have it filed now when you do an operating agreement it's it's essentially kind of your if you have partners it's your partnership agreement as well it's essentially all those things together if you're just one person that's just something that kind of spells out your way you're gonna operate and so forth and if you're again if you're one person it's it's fairly easy to do that if you're gonna be a partnership operator agreement can be much more of a challenge and that's where you would want to have a some legal counsel to help you draft that final operating agreement partnership agreement today's free resource is a free template for an operating agreement and again if you're a one-person company I think this is fine for you if you're gonna be a partnership you can kind of use this to you know to make me spell some things out but you should have if it's you're gonna be in that partnership make sure you document all those things you get that partnership agreement done operand agreement in partnership agreement I'm using those in those saying yeah same kind of firm so keep that in mind the make sure you have that operating agreement next thing is getting a business banking account so now that you have your entity your whatever you might have done LLC or corporation and you have your EIN you can now get a business business banking account done so that's something I recommend you're going to need that eventually so you can shop around for that you can ask us some give you some referrals and so forth but just picking a bank that that works for you lots of great banks out there so business banking account other thing is if you're gonna be accepting credit cards depending upon the kind of business you are hopefully you're gonna be most all of you are gonna accept credit cards because customers tend to buy much more if they're charging it versus if they're writing a cheque or cash I don't know if anyone recs anymore but maybe they go companies if you're your b2b but so making sure you have your credit card processing set up so you can process those transactions whether they be in person or on your website the fourth thing is liability insurance now there are some industries you have to have liability insurance just by regulations and so forth other industries don't require it it's just there's few businesses I can think of that I wouldn't recommend having liability insurance for so no matter what you're doing it's good to have some type of a liability insurance policy that protects you the business and so forth it's also going to help with you know being deemed more credible by having that so highly recommend you look into liability insurance and again we can give you some ideas on places to go and so forth there's lots of great agencies in central Ohio that we work with last thing on other actions for step is determining how you're going to keep track of your day to day numbers how you're gonna handle the bookkeeping the records all those kind of things there so whatever system or method you want to use that's up to you you get to choose that and there's lots of options for that too it's just figuring out for you what's gonna be something you're going to use just kind of knowing yourself what's going to work for you again know when there's lots of options out there I have some clients that just they're just anti computer and so forth and you know I I made them only a little ledger that they just write everything out every single you know for all the transactions every day that they occur and any cost and stuff other thing I recommend to back up the bookkeeping system goes back the number two on this list here is your business banking account making sure everything you are purchasing is going through the business bank account all your all your sales are also going into that that way you always have like that second set of books that other you know kind of records to back up your daily accounting system that you use okay so that covers our eight steps on how to set a business up in Ohio the good news is there are plenty of resources to make it easy to start your venture to assure that you're compliant and to assure that you have less worries going into the business again it's starting to business and finding customers and cash flow one and all those kind of things that's challenging enough you don't want to have to worry about that I set the business up right if I've done all the right things to protect myself my employees my customers my future all those kind of things that way you're free to focus on that valuable energy that you have and efforts toward developing your products and services and meeting your customer needs that they have one thing you can do is ask for help so there again there's plenty of stakeholders across Ohio that want you to be successful you know we we believe in small businesses in Ohio you're the backbone of the economy we think you know it's it's we think now is a great time to start a business it's kind of the new normal right now we're what may May 4th of 2020 as I'm doing this video so going through the whole Kovach thing I convinced it's a good time to start a business because there's a lots of new needs and so forth that's out there you know it's really the small businesses that really make the big impact I mean we're all in this together as everyone saying and I think entrepreneurship was a big way to
