Management and investors know a couple things:They want to minimize risk and execute the most successful offering they can.For an IPO with a considerable sized offering, they will need multiple bookrunners who will each syndicate a smaller portion of the offering as their seniority decreases. They will be pitching to the same institutional buyers on the roadshow irrespective of which banks they pick. However, institutional buyers are much more trusting of a company's story when being pitched by GS and MS, with whom they've had a great relationship with for decades. So usually at least one, if not both of those banks, are a lock for the senior syndicate positions. In terms of choosing between GS and MS, it simply comes down to the relationship they have with the bankers. Which banker do they trust more? Which banker do they think will do a better job conveying the company's story to institutional investors? Which banker will be the most helpful during potential secondaries / debt offerings down the line? In most cases, management will go with the banker that's been meeting with them over a longer period of time and thus should know the company the best. Investment banking is all about relationships with clients, and MS just does a better job than GS right now in building relationships with clients who are about to IPO. In terms of (buy-side) M&A deals or anti-raid defenses, GS is still the go-to bank.
