Grant of Rights and Editorial Control

Author hereby grants Publisher the non-exclusive/exclusive publication rights as selected below to publish, reproduce, and distribute the Manuscript in all territories specified in this Agreement for the Term set forth herein. Publisher shall have the right to request editorial revisions necessary for academic standards and market suitability; final acceptance of substantive editorial changes requires Author's written consent unless otherwise agreed in writing.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Notice Period (days): days after written notice. Publisher may terminate for convenience upon written notice subject to payment for completed work and reasonable wind-down costs.

Upon termination, Publisher's right to publish terminates and rights revert to Author as provided herein, except for existing inventory and outstanding royalty obligations which shall be settled within ninety (90) days of termination.

Confidentiality

Each party shall hold in confidence all Confidential Information disclosed by the other party and shall not disclose such information to third parties except as required for performance under this Agreement or as required by law. Confidential Information shall include unpublished drafts, peer reviews, and editorial comments.

Representations, Warranties, and Indemnity

Author represents and warrants that the Manuscript is original, does not infringe third-party rights, and contains no libelous or unlawful material. Author shall indemnify Publisher against claims arising from breach of these representations. Publisher represents that it will exercise reasonable editorial care and will indemnify Author for breaches of confidentiality or unauthorized use outside the scope of granted rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement

This Agreement, together with any exhibits or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether written or oral. Any amendment or modification must be in a writing signed by both parties.

Miscellaneous Provisions

Notices shall be in writing and delivered to the addresses provided by the parties. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that remedies at law for breach may be inadequate and that injunctive relief may be sought in addition to other remedies.
