ACCEPTANCE CONTRACT AGREEMENT

This Acceptance Contract Agreement ("Agreement") is made and entered into as of , by and between , an entity (select type) , with principal place of business at , and , an entity (select type) , with principal place of business at .

RECITALS

WHEREAS, Party A has prepared or will prepare certain deliverables, services and documentation described further in this Agreement and its attachments (the "Deliverables"); and

WHEREAS, Party B desires to accept the Deliverables subject to the terms and conditions set forth herein and to pay consideration upon successful Acceptance Testing as set forth below; and

WHEREAS, the parties wish to set forth the criteria, process and consequences of acceptance of the Deliverables.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

1. DEFINITIONS

1.1 "Acceptance Criteria" means the objective criteria for determining whether a Deliverable meets the contract requirements as set forth in the Deliverables Description.

1.2 "Acceptance Testing" means the formal testing process performed by Party B in accordance with Section 4 to confirm that the Deliverables satisfy the Acceptance Criteria.

2. DELIVERABLES

Party A shall deliver the Deliverables in accordance with the milestones and dates set forth in the Deliverables Description. All Deliverables shall conform to the Acceptance Criteria and be free from material defects.

3. ACCEPTANCE

3.1 Upon delivery of a Deliverable, Party B shall have days to perform Acceptance Testing. If the Deliverable satisfies the Acceptance Criteria, Party B shall deliver to Party A a written Acceptance Certificate specifying the Deliverable accepted.

3.2 If Party B identifies Nonconformities during Acceptance Testing, Party B shall provide a written notice specifying the defects. Party A shall, at its expense, correct such Nonconformities within a commercially reasonable time and resubmit the corrected Deliverable for re-testing.

4. ACCEPTANCE TESTING PROCEDURE

4.1 Acceptance Testing shall be conducted in accordance with the test plan described in the Deliverables Description. Testing shall be performed during normal business hours unless otherwise agreed in writing.

4.2 The parties shall cooperate in good faith during Acceptance Testing and shall document test results. Party B's failure to identify a material Nonconformity within the Acceptance Testing period shall be deemed an acceptance of the Deliverable unless such failure was the result of concealment or fraud by Party A.

5. PRICE AND PAYMENT

Payment shall be due within the timeframe set forth in the Payment Terms following issuance of an invoice by Party A and Party B's issuance of an Acceptance Certificate. Late payments shall accrue interest at 1.5% per month or the maximum rate permitted by law, whichever is less.

6. WARRANTIES

6.1 Party A represents and warrants that: (a) it has the full right, power and authority to enter into this Agreement and to grant the rights granted herein; (b) the Deliverables will materially conform to the Acceptance Criteria for a period of ninety (90) days following Acceptance; and (c) it will perform services in a professional and workmanlike manner in accordance with industry standards.

6.2 EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION, THE DELIVERABLES ARE PROVIDED "AS IS" AND PARTY A HEREBY DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

7. LIMITATION OF LIABILITY

Except for liability arising from gross negligence, willful misconduct, fraud, or breaches of confidentiality or intellectual property infringement, in no event shall either party be liable to the other for indirect, incidental, special, punitive or consequential damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total amount paid by Party B to Party A under this Agreement during the twelve (12) months preceding the event giving rise to the claim.

8. TERM AND TERMINATION

8.1 This Agreement shall commence on the Effective Date and shall continue until completion of the Deliverables and all payment obligations, unless earlier terminated in accordance with this Section.

8.2 Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice describing the breach in reasonable detail.

9. CONFIDENTIALITY

Each party shall maintain in confidence all Confidential Information disclosed by the other party and shall not use or disclose such information except as required to perform under this Agreement. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that the receiving party can demonstrate was already known by it prior to disclosure.

10. NOTICES

All notices under this Agreement shall be in writing and shall be deemed given when delivered in person, by nationally recognized overnight courier, or by certified mail, return receipt requested, to the addresses provided in this section or to such other address as either party may designate in writing.

11. AMENDMENTS; WAIVER; COUNTERPARTS

This Agreement may only be amended or modified by a written instrument signed by authorized representatives of both parties. No waiver of any breach shall be effective unless in writing. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

This Agreement shall be governed by and construed in accordance with the laws of the state identified by the parties below without regard to its conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held to be unenforceable, the remainder of the Agreement shall remain in full force and effect and the parties shall negotiate in good faith a substitute, valid provision.

13. MISCELLANEOUS

The parties shall perform their obligations hereunder in good faith and shall cooperate to effectuate the purpose of this Agreement. The headings used herein are for convenience only and shall not affect interpretation.
