What the Access Agreement AlphaSights Is and when it applies

The Access Agreement AlphaSights is a written contract that defines the terms under which a party is granted access to proprietary information, platforms, or expert networks managed by AlphaSights. It clarifies scope of access, permitted uses, confidentiality obligations, data protection expectations, duration, termination rights, and dispute resolution. The agreement is typically executed between AlphaSights (or its client) and an expert, vendor, or contractor before any non-public information or platform privileges are provided. Use this guide to complete, review, and electronically sign the agreement in a compliant manner.

Why a clear Access Agreement matters for compliance and risk control

A precise Access Agreement reduces misunderstanding about permitted use, limits legal exposure for both parties, and documents confidentiality and IP assignment. It helps operationalize background checks, data-handling rules, and auditability for regulatory or client review.

Common mistakes to avoid when preparing the Access Agreement

  • Using informal or incomplete party names (DBA instead of legal entity) which can invalidate authority to sign and complicate enforcement.
  • Omitting necessary attachments such as proof of authority, ID, or exhibits that define the exact data or systems covered by access.
  • Failing to specify post-termination obligations for data return or deletion, creating uncertainty about retained copies and downstream use.
  • Sending the wrong signing order or lacking required authentication, which can produce an audit trail insufficient to prove attribution.

Risks and consequences of incorrect or incomplete agreements

Enforceability Risk: Ambiguous terms can make obligations hard to enforce
Data Exposure: Improper scope can permit unauthorized disclosures
Breach Liability: Indemnities and damages may apply
Regulatory Risk: Noncompliance may trigger fines or audits
Contract Delay: Missing signatures delay access provisioning
Tax Withholding: Incorrect payee info may cause backup withholding
