Recitals

WHEREAS, the Client owns or controls the premises identified above and requires the supply, installation, modification, maintenance, or access provisioning of one or more access doors, access-controlled doors, or related hardware and software; and

WHEREAS, the Contractor represents that it is duly qualified, licensed where required, and experienced in providing access door products and related services and will perform such work in accordance with the terms and specifications set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the supply, installation, testing, and ongoing access control responsibilities for the access door(s).

Late Payment Fee: . Invoices unpaid after the due date shall accrue interest and the Contractor may suspend performance after providing written notice in accordance with the Termination provisions.

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party not less than Notice Period (days): days prior to the desired termination date. Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Contractor shall return all Client keys, credentials, and any confidential information and shall invoice Client for work completed through the termination date. Client shall pay all undisputed amounts within the agreed payment terms.

Acceptance, Testing, and Warranty

Contractor shall perform testing and commissioning of installed access door(s) and related systems. Client shall have Acceptance Period (days): days from completion to report defects. If Client does not provide written notice of nonconformity within the Acceptance Period, the work shall be deemed accepted.

Warranty: Contractor warrants that all materials and workmanship furnished under this Agreement shall be free from defects for Warranty Period (months): months from acceptance. Warranty remedies are limited to repair or replacement at Contractor's option, provided the defect is reported in writing within the warranty period and not caused by misuse, abuse, or unauthorized modification.

Change Orders

Any changes to the Scope of Work shall be authorized only by a written change order signed by both parties which sets forth the change, the effect on price, and any adjustments to schedule. Contractor shall not be required to proceed with changed work absent an executed change order.

Confidentiality

Each party shall maintain in confidence all non-public information received from the other party that is marked or reasonably understood to be confidential, including but not limited to access credentials, system diagrams, and security configurations ("Confidential Information"). Confidential Information shall not be disclosed except to employees, agents, or subcontractors who have a need to know and who are bound to maintain confidentiality. This obligation shall survive termination for a period of three (3) years, except that trade secrets shall be protected for as long as they remain trade secrets under applicable law.

Insurance, Indemnity, and Compliance

Contractor shall maintain insurance customary for the industry, including commercial general liability and workers' compensation as required by law. Contractor shall indemnify and hold harmless Client from and against third-party claims, liabilities, losses, and expenses arising from Contractor's negligent performance or willful misconduct, except to the extent caused by Client's negligence or willful misconduct.

Contractor shall obtain and maintain all permits, inspections, and approvals required by local codes and authorities having jurisdiction, unless the parties expressly agree that Client will obtain such permits. All work shall comply with applicable building codes, fire codes, and other legal requirements.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Venue for any dispute shall be in the state or federal courts located in the county where the Project Location is situated.

Entire Agreement

This Agreement, including any exhibits and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. No modification shall be effective unless in writing and signed by both parties.

Additional Provisions

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.

Acknowledgment
