WHEREAS, the parties desire to set forth the scope, payment and confidentiality terms applicable to individual access unlock requests submitted and approved under this form.

Scope of Work

Service Provider shall perform access unlock services limited to the resource and timeframe described in this request and in accordance with applicable security procedures. Services may include on-site mechanical unlocking, remote electronic account reinstatement, credential reset, and verification of authorized identity prior to unlocking.

Payment Terms

Client shall pay Provider for completed unlock services in accordance with the fee schedule below. Fees are due in full as set forth unless otherwise agreed in writing. Provider may invoice upon completion of the service.

Term and Termination

This request, once accepted by Provider in writing or by performance, constitutes an agreement for the specific unlock services requested. This engagement commences on: Start Date: and will terminate on: End Date: unless earlier terminated pursuant to this clause.

Either party may terminate this engagement for convenience by providing written notice to the other party at least days prior to the intended termination date. Provider may immediately suspend services where Client fails to provide required authorization or payment, or where continued performance would violate safety or security policies.

Confidentiality

Each party shall treat all non-public information disclosed in connection with an access unlock request as Confidential Information. Provider shall use Confidential Information solely to perform the requested service, shall restrict access to personnel who have a need to know, and shall not disclose such information to third parties except with Client's prior written consent or as required by law. Confidential obligations will survive termination of this request for a period of three years.

Liability and Indemnification

Provider shall perform services with reasonable care. Client agrees to indemnify and hold Provider harmless from claims arising from Client's failure to obtain proper authorization for unlocking or from Client-provided incorrect information. Except for willful misconduct or gross negligence, Provider's aggregate liability for claims arising from a single unlock request shall not exceed the fees paid for that request.

Governing Law

This request and any resulting agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

Entire Agreement

This form, together with any confirmed work orders or written acceptances by Service Provider, constitutes the entire agreement between the parties with respect to the specific access unlock services described herein and supersedes all prior representations, negotiations and agreements relating to the subject matter.
