ACCOUNT CREATION CARD

This Account Creation Card (the Agreement) is entered into on by and between (Provider) and (Account Holder).

WHEREAS

WHEREAS, Provider operates services for establishing and administering account relationships and related services, and is willing to create and maintain an account for the Account Holder under the terms set forth herein;

WHEREAS, Account Holder seeks to open an account with Provider for the purpose described in this Card and will provide required information, authorizations and documentation; and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other material terms that will govern the account relationship.

Late payments shall accrue interest at the lesser of the maximum rate permitted by law or or a fixed late fee of . Account Holder is responsible for all collection costs, including reasonable attorneys' fees.

TERM AND TERMINATION

Term begins on and continues until unless earlier terminated as set forth herein. Either party may terminate this Agreement for convenience upon days' prior written notice.

Provider may terminate immediately for cause upon written notice if Account Holder materially breaches a material term and fails to cure within ten (10) days after receipt of written notice of breach where cure is possible.

CONFIDENTIALITY

Each party shall maintain in strict confidence all non-public information obtained in connection with opening and operating the account (Confidential Information). Confidential Information shall not be disclosed to third parties except as required by law, to professional advisors under confidentiality obligations, or with the disclosing party's prior written consent. The obligations in this Section survive termination for a period of three (3) years.

Acknowledgement: Account Holder affirms that it will restrict access to account credentials and authorized-user functionality and shall be responsible for acts of its authorized users.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles. Venue for any dispute shall be the state or federal courts located in that state.

ENTIRE AGREEMENT

This Account Creation Card, together with any exhibits or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.
