The obligations under this Section shall survive termination of this Agreement for a period of three years.

7. REPRESENTATIONS, WARRANTIES AND AUTHORIZATIONS

Applicant represents and warrants that all information provided in this Application is true, complete and correct as of the date of signature, and that Applicant is authorized to execute this Agreement. Applicant authorizes Institution to obtain and verify credit, identity, and background information as permitted by applicable law and to take any actions necessary to comply with anti-money laundering and "Know Your Customer" requirements.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

9. ENTIRE AGREEMENT

This Agreement, together with any schedules, attachments, account disclosures and fee schedules provided by Institution, constitutes the entire agreement between the parties with respect to the account and supersedes all prior discussions and agreements. No amendment shall be effective unless in writing and signed by both parties.

10. CERTIFICATION AND ACKNOWLEDGMENTS

By signing below, Applicant certifies under penalty of perjury that the information provided is accurate and complete, agrees to the terms of this Agreement, authorizes Institution to charge applicable fees, and acknowledges receipt of Institution's account disclosures. Applicant further acknowledges that Institution may close the account or refuse transactions if required by law or for suspected fraudulent activity.
