What an Account Sold Agreement Is and When It Applies

An Account Sold Agreement documents the transfer of ownership or control of a customer account, client list, subscription, or receivable between two parties. It records the identities of the seller and buyer, the account scope, consideration paid, effective date, any warranties or representations about account quality, and obligations for notification or consent. The agreement helps preserve continuity of service, allocate liabilities, and provide evidence of the transfer for compliance, tax, and recordkeeping purposes. Parties typically use this document when selling business units, portfolios, or recurring revenue streams.

Why a Clear Account Sold Agreement Matters

A well-drafted Account Sold Agreement reduces disputes, clarifies who controls customer data and receivables, and documents tax and regulatory consequences. It provides a written basis for contract novation or assignment, protects buyer and seller expectations, and supports audit-ready recordkeeping under federal and industry rules.

Why a Clear Account Sold Agreement Matters

Which Parties Commonly Complete This Agreement

Typical signers include business owners, corporate officers, brokers, and contract managers who manage account transfers or portfolio sales.

  • Small business owners transferring client lists and subscription billing obligations; they use the agreement to assign recurring revenue and set payment terms.
  • Finance and accounting teams handling receivable assignments and tax reporting; they record consideration, effective date, and indemnities for accurate ledger entries.
  • Legal or contracts teams in mid-market and enterprise sellers or buyers; they confirm representations, consent requirements, and any customer-notice obligations.

Use legal or tax counsel for complex transfers, and confirm which signatures, notices, or consents are required by customer contracts and state law.

Step-by-Step: Completing an Account Sold Agreement

Follow these sequential steps to prepare, review, and execute the agreement correctly.

  • 01
Gather Documents: Collect existing contracts, customer consents, and account lists.
  • 02
Draft Terms: Define scope, price, payment terms, and representations.
  • 03
Review Compliance: Check privacy, data transfer, and regulatory requirements.
  • 04
Execute: Sign, notarize if required, and distribute executed copies.

Customizing an Online Workflow for This Agreement

Configure an e-signature workflow to place fields, set signer order, and add authentication suitable for the document's risk level.

Field Configuration
Signature Field Required for each signer; include date fields next to signatures.
Signer Order Set sequential signing if buyer approval must precede seller acknowledgment.
Authentication Use email + SMS or KBA for higher-assurance signers.
Attachments Attach account exhibits and notices as required exhibits.

Delivery Options and Platform Requirements

Choose a platform that supports the file formats you use and the authentication level you require.

  • File Types: PDF, DOCX, and XLSX supported.
  • Integrations: Connectors for CRM and cloud storage ease distribution.
  • Authentication: Email, SMS, or KBA available.

Ensure the chosen solution can produce an audit trail, preserve an exact signed copy, and meets any applicable compliance needs such as HIPAA or 21 CFR Part 11.

Where to Send or File the Executed Agreement

After execution, route copies to accounting, legal, and the operational owner; file an executed copy with contract records and update CRM billing.

  • Accounting: Record consideration and update receivables.
  • Legal: Retain for audit and dispute defense.
  • Operations: Update account management ownership.
  • CRM: Attach executed agreement to customer record.

Key Deadlines and Timing Considerations

Customer Notice Deadlines:

Document Retention Start:

Milestone Timeline from Draft to Post-Closing

Common Pitfalls to Avoid

  • Using vague account descriptions that leave scope open to dispute and hinder enforcement or billing reconciliation.
  • Failing to confirm customer contract assignability, which can trigger breach claims or require customer consent before transfer.
  • Mismatching legal entity names or using trade names rather than registered names, causing title and tax reporting errors.
  • Skipping authentication or insufficient audit trails for high-value transfers, weakening evidentiary value of electronic signatures.

Potential Legal and Financial Consequences

Tax Penalties: IRC §6721 applies
I-9 Violations: 8 CFR §274a.2 fines
HIPAA Exposure: 45 CFR §164.530(j) applies
Breach Claims: Contract damages risk
Fraudulent Transfer: Fraud liability risk
