By signing below, the Account Holder authorizes the Payee to originate ACH entries to the account indicated above and, if necessary, to initiate adjustments for any erroneous entries. This authorization is effective as of the Start Date above and will remain in effect until revoked in writing by the Account Holder with at least days' advance written notice to the Payee.

The Account Holder represents and warrants that: (a) the account identified is a valid account and the Account Holder is authorized to debit or credit that account; (b) entries initiated pursuant to this authorization will comply with applicable ACH rules and all other applicable laws and regulations; and (c) the Payee and its financial institution are authorized to debit/credit the designated account as specified herein.

The Account Holder agrees to indemnify and hold harmless the Payee and its financial institution from any loss, liability or expense resulting from incorrect or incomplete information provided on this form or from any unauthorized use of the ACH authorization, except to the extent caused by the Payee's gross negligence or willful misconduct.

The Account Holder acknowledges that returns or reversals by the bank may be processed in accordance with bank policies and applicable ACH rules. The Account Holder understands that additional fees may be assessed by the Payee for returned items or for handling unauthorized transactions.
