RECITALS

5. DEFAULT; REMEDIES

5.1 Events of Default. The following events constitute an Event of Default: (a) Debtor fails to make any payment when due and such failure continues for days after written notice; (b) Debtor becomes insolvent or files for bankruptcy; or (c) Debtor materially breaches any representation or covenant contained in this Agreement.

5.2 Remedies. Upon the occurrence of an Event of Default, Lender may declare the entire outstanding principal, accrued interest and other charges immediately due and payable and pursue all remedies available at law or in equity, including collection, enforcement of security interests, and recovery of costs and attorneys' fees.

6. PREPAYMENT

Debtor may prepay the Debt in whole or in part at any time without premium or penalty except that any prepayment shall be applied first to accrued interest and then to principal.

7. NOTICES

Notices shall be in writing and shall be deemed given when delivered personally, sent by nationally recognized overnight courier, or three (3) days after deposit in the United States mail, postage prepaid, to the addresses set forth above or such other address as a party may designate by notice in accordance with this Section.

8. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless it is in writing and signed by both parties. The waiver by either party of a breach of any provision shall not operate as a waiver of any subsequent breach.

9. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties consent to exclusive jurisdiction and venue in the state and federal courts located within said State.

10. ENTIRE AGREEMENT; SEVERABILITY
