RECITALS

3. COVENANTS AND OBLIGATIONS

In particular, the Acknowledging Party shall: (a) abide by any confidentiality and non-use provisions; (b) perform any affirmative obligations described in the Documents where applicable; and (c) notify the Disclosing Party promptly in writing of any event that materially affects the Acknowledging Party's ability to perform under the Documents.

4. RETURN OR DESTRUCTION; RETENTION

Upon written request of the Disclosing Party, the Acknowledging Party shall, within the time specified in such request but in no event later than days, return or destroy all physical and electronic copies of specified Documents and certify in writing the completion of such return or destruction.

5. REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that it has full power and authority to enter into this Acknowledgement, that the person executing this Acknowledgement on its behalf is duly authorized, and that execution and performance hereunder do not violate any other agreement or applicable law.

6. NO LICENSE OR ASSIGNMENT

Except as expressly set forth in any Document, no license, assignment, conveyance or transfer of rights is granted by reason of disclosure. The Acknowledging Party may not assign its rights or delegate its obligations under this Acknowledgement without the prior written consent of the other party.

7. NOTICES

Notices required or permitted under this Acknowledgement shall be in writing and delivered to the addresses below (or to such other address as a party may designate by notice).

8. AMENDMENT; WAIVER; COUNTERPARTS

No amendment or waiver of any provision of this Acknowledgement shall be effective unless in writing and signed by both parties. A waiver of any breach shall not operate as a waiver of any subsequent breach. This Acknowledgement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

9. GOVERNING LAW; SEVERABILITY; ENTIRE AGREEMENT

This Acknowledgement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified by the Disclosing Party at the time of execution. If any provision of this Acknowledgement is determined to be invalid or unenforceable, such determination shall not affect the remaining provisions, which shall continue in full force and effect. This Acknowledgement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

10. REMEDIES

The parties acknowledge that monetary damages may be inadequate to remedy a breach of the confidentiality or non-use obligations and that the Disclosing Party shall be entitled to injunctive relief, specific performance or other equitable remedies in addition to any other remedies available at law or in equity.
