RECITALS

WHEREAS, Supplier has prepared or provided the written specifications, drawings, materials lists, tolerances and testing criteria identified above (collectively, the Specifications) to define the scope and quality of goods and/or services to be supplied for the Project; and

WHEREAS, Client requires confirmation that the Specifications have been received, reviewed and either accepted as presented or accepted subject to the exceptions documented in this Acknowledgement; and

WHEREAS, the parties intend that this Acknowledgement will form the controlling statement of the Specifications insofar as such Specifications relate to the Supplier’s obligations under any governing contract between the parties, except as modified by written change order duly executed by both parties.

Confidential information excludes information that is (i) already known to the recipient without obligation of confidentiality, (ii) becomes publicly available through no fault of the recipient, or (iii) is lawfully obtained from a third party without restriction.

GOVERNING LAW

This Acknowledgement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Acknowledgement, together with the Specifications referenced herein and any duly executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral and written understandings. Any amendment must be in writing and signed by authorized representatives of both parties.
