Recitals

WHEREAS, Client is acquiring certain tangible or intangible property and related deliverables described as: (the "Property"); and

WHEREAS, Provider has custody of or authority over title documents and obligations necessary to transfer legal title in the Property and will perform services and execute instruments required to effect transfer to Client upon satisfaction of the conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows.

Scope of Work

Acknowledgement of Title Transfer

Provider warrants that, to Provider's actual knowledge, Provider has the authority to transfer title to the Property described above. Title to the Property shall transfer to Client upon the satisfaction of all of the following conditions precedent:

  1. Payment in full in accordance with the Payment Terms below;
  2. Delivery of the Property or execution and delivery of required transfer instruments and certificates by Provider; and
  3. Execution by Client of any required acceptance certificate or receipt confirming condition and conformity of the Property.

The parties acknowledge and agree that Provider shall retain all risk of loss and responsibility for title defects until title has been transferred in accordance with this Agreement. Any transfer documents required to convey title shall be executed in form and substance reasonably acceptable to Client.

Payment Terms

All payments are due as set forth above. If any payment is not received when due, interest and late charges specified in the Late Fee field shall accrue. Client's obligation to accept transfer of title is conditional upon payment being made in cleared funds.

Term and Termination

This Agreement commences on the Effective Date specified above and shall continue until the earlier of completion of the Scope of Work and transfer of title or the End Date: .

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within the notice period specified above after receipt of written notice. Termination shall not relieve either party of obligations accrued prior to termination, including payment obligations.

Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party in connection with this Agreement that is marked or reasonably understood to be confidential. Confidential information shall not be disclosed to third parties except as required by law or as necessary to perform the obligations under this Agreement, and only after providing notice to the disclosing party where legally permissible.

Confidentiality obligations shall survive termination of this Agreement for a period of three (3) years from the date of termination, except with respect to trade secrets, which shall remain protected for so long as they qualify as trade secrets under applicable law.

Representations and Warranties

Provider represents and warrants that Provider has full right, title and authority to transfer the Property free and clear of liens, encumbrances, and third-party claims, except as disclosed in writing to Client prior to the Effective Date. Client acknowledges that, except as expressly stated in this Agreement, Provider makes no other warranties, express or implied.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement

This Agreement, including any attachments and executed transfer instruments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, proposals, negotiations, and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

Acknowledgement and Certification

The undersigned representatives certify that they are authorized to execute this Agreement on behalf of their respective parties, that they have read and understand the terms set forth herein, and that execution of this Agreement effects an acknowledgement by the parties of the conditions governing transfer of title to the Property.
