Term and Termination

This Agreement commences on and continues until unless earlier terminated as set forth below.

Either party may terminate this Agreement for convenience upon written notice to the other party given at least the Notice Period above. Either party may terminate immediately for material breach that remains uncured for a period of 15 days after written notice specifying the breach, or sooner where immediate injunctive or emergency relief is necessary.

Confidentiality

Each party (the "Receiving Party") shall hold in strict confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Confidential information shall not be used except for purposes of performing this Agreement and shall not be disclosed to third parties without prior written consent, except to employees or professional advisors who have a need to know and are bound by confidentiality obligations.

The obligations of confidentiality survive termination or expiration of this Agreement for the Confidentiality Period specified above. Notwithstanding the foregoing, parties may disclose Confidential Information to the extent required by law, provided, where lawful and practicable, the Disclosing Party receives prompt notice and the disclosure is limited to the required scope.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified above without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of disputes arising under this Agreement.

Entire Agreement

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
