Recitals

WHEREAS, Client desires to engage Provider to perform certain professional services, and Provider has represented that it has the qualifications, experience, and ability to provide such services under the terms set forth herein; and

WHEREAS, the parties intend by this Acknowledgment Form to record and acknowledge the scope, payment terms, confidentiality obligations, and other material terms of their agreement and to evidence Client's receipt of and assent to those terms; and

WHEREAS, the parties agree that the provisions set forth in this document are binding and enforceable as of the Effective Date set forth above.

Late fee:     Interest on past due balances accrues from the date due at the rate set forth above or the maximum rate permitted by law, whichever is lower. Client agrees to reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in recovering past due amounts.

Either party may terminate this Agreement for material breach by the other party if such breach remains uncured thirty (30) days after written notice. Termination shall not relieve the Client of its obligation to pay for services performed prior to termination. Any provision that by its nature survives termination shall survive.

Confidentiality

"Confidential Information" means non-public, proprietary information disclosed by one party to the other in any form that is designated as confidential or that reasonably should be understood to be confidential. The receiving party shall use Confidential Information solely for the performance of this Agreement, shall protect it with at least the same degree of care it uses to protect its own confidential information, and shall not disclose it to third parties except to employees, contractors, or agents who have a need to know and are bound by confidentiality obligations no less restrictive than those herein.

The confidentiality obligations shall continue for a period of years following termination or expiration of this Agreement, unless a longer period is required by law. Notwithstanding the foregoing, information that becomes publicly known through no fault of the receiving party, or that is independently developed without reference to the disclosing party's Confidential Information, is not confidential.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction identified here: , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of this Agreement.

Entire Agreement

This Acknowledgment Form, together with any documents expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment shall be effective unless in writing and signed by both parties.
