RECITALS

WHEREAS, Party A has requested that Party B perform certain services and deliverables in furtherance of the OIA engagement identified as ; and

WHEREAS, Party B represents that it has the experience, personnel, and resources necessary to perform the work described in this Agreement and will do so in accordance with the terms and conditions set forth below; and

WHEREAS, the parties desire to memorialize their mutual acknowledgments, performance obligations, payment terms, and confidentiality obligations with respect to the OIA engagement.

SCOPE OF WORK

Party B shall perform the tasks, deliverables and services described below. Party B shall perform such work in a professional manner consistent with industry standards and in accordance with any schedules stated below.

PAYMENT TERMS

In consideration for the performance of the Scope of Work, Party A shall pay Party B the amounts and on the schedule below. All amounts are in U.S. dollars unless otherwise indicated.

Party B shall submit invoices in accordance with the Payment Schedule. Unless otherwise stated, undisputed invoices are payable within the number of days specified in the Payment Schedule. If Party A disputes any portion of an invoice in good faith, Party A shall timely notify Party B and pay any undisputed portion in accordance with the Payment Schedule; the parties shall promptly work to resolve the disputed portion.

TERM AND TERMINATION

This Agreement shall commence on the Start Date and continue until the End Date or until earlier terminated as provided herein.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such breach within the Notice Period specified above. Termination for convenience may be permitted only if expressly set forth in the Payment Schedule and agreed in writing by both parties.

CONFIDENTIALITY

Each party (the Recipient) may receive Confidential Information from the other party (the Discloser). "Confidential Information" means non-public information disclosed in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

The Recipient shall: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as expressly permitted by this Agreement; and (c) use Confidential Information solely to perform its obligations under this Agreement. The obligations of confidentiality do not extend to information that is (i) publicly available through no fault of the Recipient; (ii) already known to the Recipient at the time of disclosure as evidenced by written records; (iii) rightfully received from a third party without restriction; or (iv) independently developed by the Recipient without use of Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties agree that any dispute arising under this Agreement shall be resolved in the state or federal courts located within that state, subject to the parties' rights to seek injunctive relief as provided below.

ENTIRE AGREEMENT

This Agreement, including any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings, and communications, whether written or oral. No amendment or modification of this Agreement will be effective unless in writing and signed by authorized representatives of both parties.

Each party represents and warrants that it has the full right, power, and authority to enter into this Agreement and to perform its obligations hereunder. Each signatory certifies that they are authorized to execute this Agreement on behalf of the party for which they sign.
