Any undisputed past due amount shall accrue interest at the lesser of (a) or (b) the maximum rate permitted by applicable law. Offeree agrees to pay reasonable collection costs, including attorneys' fees, for amounts not paid when due.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Termination for material breach is effective upon delivery of written notice describing the breach if the breaching party fails to cure within days after receipt of such notice.

CONFIDENTIALITY

Each party (the Receiving Party) shall keep confidential and shall not disclose to any third party any confidential information of the other party (the Disclosing Party) disclosed in connection with the Offer, except as required by law. Confidential information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) is independently developed by the Receiving Party without reference to Confidential Information; or (c) is rightfully received from a third party without restriction. The Receiving Party shall use confidentiality protections at least as protective as those it uses for its own confidential information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification of this Agreement is effective unless in writing and executed by authorized representatives of both parties.
