WHEREAS, the parties named above (the "Parties") desire to implement and document a program of preventive measures designed to reduce risk and protect personnel, property, and visitors in connection with the services described in this agreement; and

WHEREAS, the Parties intend that the preventive measures include administrative controls, personal protective practices, sanitation and maintenance protocols, and training appropriate to the scope of services and facilities; and

Scope of Work

The Service Provider will implement and maintain the preventive measures described below at the locations identified by the Client. The measures shall be performed in a professional manner consistent with industry standards and applicable laws.

Preventive Measures Checklist

The Service Provider confirms that the following baseline measures have been adopted and will be maintained unless modified in writing by the Parties:

Payment Terms

In consideration for the preventive measures and related services, the Client agrees to pay the Service Provider in accordance with the following terms.

Term and Termination

This Agreement commences on the Start Date and continues until the End Date unless earlier terminated as set forth below.

Either party may terminate this Agreement for material breach that remains uncured after the notice period specified above, or immediately for reasons of safety where continuation would present an imminent risk.

Confidentiality

Each Party shall maintain in confidence all Confidential Information disclosed by the other Party in connection with this Agreement. "Confidential Information" includes any non-public information relating to facilities, personnel, protocols, pricing, and other materials reasonably understood to be confidential. Confidential Information shall not include information which is or becomes publicly available through no fault of the receiving Party, or which must be disclosed by law, provided prompt notice is given to permit protective measures.

The receiving Party shall only use Confidential Information to perform obligations under this Agreement and shall apply commercially reasonable measures to prevent unauthorized disclosure.

The undersigned acknowledge and agree to the confidentiality obligations set forth above.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of: without regard to its conflict of laws principles.

Entire Agreement

This Agreement, including any attachments or written amendments signed by both Parties, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, proposals, and agreements, whether written or oral. No modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties.
