WHEREAS, Contractor is engaged in the business of providing professional services and agrees to perform services for Client on the terms set forth herein; and

WHEREAS, Client requires proof of insurance coverage evidencing specified limits and endorsements, and Contractor represents that it maintains insurance in the types and limits required by this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations regarding performance, payment, insurance, confidentiality and indemnity.

All undisputed amounts are due in accordance with the Payment Schedule. Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law, calculated from the date payment became due until paid. Contractor shall provide written invoices itemizing work performed and expenses.

The insurance coverages identified above shall name Client as an additional insured where required by contract and shall be primary and non-contributory with respect to Client's liability arising from Contractor's operations. Contractor agrees to maintain such coverages during the Term and for any applicable statute-of-limitations period required by law or by this Agreement.

Cancellation / Nonrenewal: Insurance carriers shall endeavor to provide at least thirty (30) days advance written notice to the certificate holder prior to cancellation or material change. Contractor shall provide replacement coverage evidencing compliance with this Agreement within ten (10) days of any cancellation notice affecting coverage required by this Agreement.

Confidentiality

Each party shall maintain as confidential all non-public information of the other party disclosed in connection with this Agreement. Confidential information does not include information that is or becomes generally known to the public through no fault of the receiving party, or that is independently developed or rightfully received from a third party without breach of obligation. The confidentiality obligation shall survive termination or expiration of this Agreement for a period of three (3) years.

Indemnity; Allocation of Risk

Contractor shall defend, indemnify and hold harmless Client, its officers, directors and employees from and against all claims, liabilities, losses and expenses arising out of Contractor's performance of services, except to the extent caused by Client's gross negligence or willful misconduct. This indemnity shall not be limited by any insurance coverage maintained by Contractor.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree that any claim or dispute arising out of this Agreement shall be resolved in the courts located in that state, unless otherwise mutually agreed in writing.

Entire Agreement

This Agreement, together with any attachment or certificate of insurance expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations, warranties and agreements, whether oral or written. No amendment shall be binding unless executed in writing by both parties.
