What an Added Services Agreement Is

An Added Services Agreement is a written amendment or standalone contract that describes work, goods, or services added to an existing engagement. It clarifies scope changes, pricing, timing, responsibilities, and acceptance criteria so parties know what is new versus the original contract. These agreements are used to avoid disputes over scope creep by documenting approvals, payment adjustments, and delivery milestones. They can be executed as a separate contract, a change order, or an exhibit to the principal agreement and should reference the underlying contract and its effective dates.

Why a Clear Added Services Agreement Matters

A precise Added Services Agreement reduces dispute risk, documents mutual approval of changes, and aligns expectations for cost and schedule. It provides enforceable evidence of altered obligations and payment terms and makes downstream tasks—billing, permitting, and performance measurement—easier to manage.

Why a Clear Added Services Agreement Matters

Who Commonly Prepares and Signs These Agreements

Multiple parties may draft or request an Added Services Agreement depending on the context; the intro below highlights typical users.

  • Contractors and subcontractors managing scope changes on construction or services projects, documenting new tasks and pricing.
  • Vendors and suppliers adding deliverables or upgrade work to purchase orders or master services agreements.
  • In-house procurement, project managers, and client account managers who must approve, track, and archive change documentation.

Use the appropriate signatory and review path in line with corporate authority and procurement rules before execution.

Core Elements to Include in a Professional Added Services Agreement

A complete Added Services Agreement addresses the new scope, pricing, timing, acceptance criteria, ties to the original contract, and signature authority. Draft each element clearly to avoid interpretive gaps and reference any exhibits or attachments that contain technical or financial detail.

Authorize: Obtain required internal approvals per procurement or delegation rules.

Where to Send and Store the Executed Agreement

Route executed agreements to the right systems and stakeholders to ensure enforceability and operational follow-through.

  • Parties: Send final signed copy to each party for records and execution evidence
  • Contract Management: Upload to the contract repository with metadata for search and reporting
  • Accounting: Notify accounts payable/receivable to update invoices and budgets
  • Project Team: Share updated scope and schedule with delivery teams and PMs

Digital Signing and Platform Considerations

Choose a signing platform that provides audit trails, secure storage, and integration with your document systems.

  • Integrations: Salesforce, NetSuite, Google Workspace, Microsoft 365
  • File Types: PDF, DOCX, HTML, Excel supported
  • Security: TLS 1.2/1.3 and AES-256 at rest

Timelines and Key Dates to Track

Track effective dates, service start, invoicing deadlines, acceptance windows, and retention triggers to ensure compliance and timely payment.

Effective Date:

Date obligations begin; use MM/DD/YYYY format

Service Start:

Day work or deliverable schedule begins

Acceptance Window:

Client review period for deliverables and defects

Invoice Due:

Payment terms (e.g., Net 30) start from invoice date

Retention Trigger:

Retention periods begin on contract termination or final invoice

Common Preparation Mistakes to Avoid

  • Vague scope language that omits specific deliverables, acceptance criteria, or measurable outputs, leading to later disputes.
  • Using informal emails or text messages rather than an executed amendment, which weakens evidentiary value in a disagreement.
  • Failing to update invoicing or payment terms after price changes, causing delayed payments or billing disputes.
  • Incorrect signer or lack of delegated authority: agreements signed by unauthorized personnel can be declared void.

Consequences of an Incorrect or Incomplete Agreement

Contract Dispute: Potential litigation or arbitration
Payment Delay: Withheld or contested invoices
Invalid Signature: Enforceability challenges
Breach Liability: Damages and remediation costs
Tax Exposure: Incorrect tax treatment or reporting
Regulatory Noncompliance: Fines where regulated services apply
