CONDITIONS TO ISSUANCE

Issuer's obligation to issue securities is subject to satisfaction or waiver of the following conditions precedent: (a) receipt of the full Subscription Amount in cleared funds, (b) receipt of executed instruments, certificates and tax documentation required by Issuer, and (c) compliance with applicable representations, warranties and covenants contained herein and in the Original Agreement.

REPRESENTATIONS AND WARRANTIES — SUBSCRIBER

Subscriber represents and warrants to Issuer as of the date hereof and as of the closing that:

(a) Authority and Organization: Subscriber has the full power and authority to enter into this Agreement and to perform its obligations.

(b) Investment Purpose: Subscriber is acquiring the securities for investment for its own account and not with a view to distribution.

(c) Accredited Investor Status: Subscriber represents it is an accredited investor. Subscriber represents it is not an accredited investor.

(d) No Conflict: The execution and performance of this Agreement do not violate any agreement or law binding on Subscriber.

REPRESENTATIONS AND WARRANTIES — ISSUER

Issuer represents and warrants to Subscriber that: (a) Issuer is duly organized and in good standing, (b) the securities, when issued and paid for in accordance with this Agreement, will be duly authorized, validly issued, fully paid and non-assessable, and (c) Issuer is not in material breach of the Original Agreement or Issuer's charter or organizational documents that would prevent issuance.

PAYMENT INSTRUCTIONS

TAX AND REGULATORY CERTIFICATIONS

Subscriber certifies under penalty of perjury that all information provided to Issuer for tax and regulatory purposes is true, complete and correct, and that Subscriber will provide any additional documentation reasonably requested by Issuer to comply with applicable tax and anti-money laundering laws.

TRANSFER RESTRICTIONS AND LEGENDS

The securities issued pursuant to this Agreement shall bear legends and be subject to restrictions on transfer as set forth in the Original Agreement and Issuer's organizational documents. Subscriber agrees not to sell, assign or otherwise transfer the securities except in compliance with such restrictions and applicable law.

MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified in the Original Agreement. Any dispute arising under this Agreement shall be resolved in accordance with the dispute resolution provisions of the Original Agreement unless otherwise expressly agreed in writing.

Entire Agreement: This Agreement supplements and amends the Original Agreement solely to the extent expressly set forth herein. Except as amended, the Original Agreement remains in full force and effect. To the extent of any conflict between this Agreement and the Original Agreement, the terms of this Agreement shall control.
