This Adult Activity Consent Form (the "Agreement") is entered into on by and between:

RECITALS

WHEREAS, Participant desires to participate in the activity, program, or event described below and to receive instruction, supervision, and use of equipment provided by Organizer;

WHEREAS, Organizer conducts, manages and supervises the activity and requires execution of this Agreement to define the rights, obligations, and allocation of risk between the parties; and

WHEREAS, Participant acknowledges that participation may involve inherent risks and agrees to the terms and conditions set forth in this Agreement.

SCOPE OF ACTIVITY

Describe the activity, location, schedule, equipment provided, and any material conditions or limitations. Participant hereby acknowledges and accepts the scope as described.

PAYMENT TERMS

Participant shall pay Organizer the fees set forth below in consideration for participation and any goods or services provided.

TERM AND TERMINATION

This Agreement commences on and, unless earlier terminated in accordance with this Agreement, ends on .

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after receipt of written notice. Organizer may also suspend or terminate Participant’s access for safety or policy violations without refund where permitted by law.

ASSUMPTION OF RISK, RELEASE AND INDEMNIFICATION

Participant acknowledges that participation in the activity involves physical exertion and potential hazards that may result in personal injury, property damage, or death. Participant voluntarily assumes all risks, whether known or unknown, inherent or otherwise, associated with participation.

To the fullest extent permitted by law, Participant hereby releases, waives, discharges and covenants not to sue Organizer, its officers, directors, employees, volunteers, agents and contractors (collectively, the "Released Parties") from any and all claims, liabilities, demands, losses, expenses or causes of action arising out of or relating to Participant’s participation, except for claims arising from the gross negligence or willful misconduct of the Released Parties.

Participant further agrees to indemnify, defend and hold harmless the Released Parties from and against any and all claims, damages, losses and expenses, including reasonable attorneys’ fees, arising out of Participant’s acts or omissions in connection with the activity.

MEDICAL ACKNOWLEDGMENT AND EMERGENCY CONTACT

Participant certifies that Participant is physically fit and capable of participating in the activity. Participant authorizes Organizer to obtain or provide emergency medical treatment if Participant is injured or incapacitated and authorizes medical personnel to treat Participant as appropriate.

CONFIDENTIALITY

Each party shall maintain in confidence any proprietary or non‑public information of the other party disclosed in connection with the activity. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement, or is independently developed without use of the other party’s confidential information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.

ACKNOWLEDGMENT AND REPRESENTATIONS

Participant represents and warrants that Participant is at least 18 years of age, has read this Agreement in its entirety, fully understands its terms, and signs voluntarily.
