ADULT PARTICIPATION WAIVER AND SERVICES AGREEMENT

RECITALS (WHEREAS)

WHEREAS, Participant desires to participate in the activities, programs, training, instruction, and related services described below (collectively, the "Activities") offered by the Organization; and

WHEREAS, Organization agrees to furnish such Activities and related services subject to the terms, representations, waivers, releases, and conditions set forth in this Agreement; and

WHEREAS, Participant represents that Participant is an adult of legal age and is capable of understanding the risks inherent in participation and voluntarily assumes those risks in exchange for participation.

PARTIES

SCOPE OF ACTIVITIES

Participant will engage in the following Activities provided by Organization. Participant acknowledges that the Activities may involve physical exertion, contact with others, use of equipment, and other inherent risks.

PAYMENT TERMS

Participant agrees to pay the fees set by Organization in exchange for the Activities described above. All fees and payment obligations are non-refundable except as otherwise expressly set forth in writing.

TERM AND TERMINATION

This Agreement is effective as of the Start Date and will continue through the End Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the Notice Period following written notice. Organization may suspend Participant's participation immediately for safety concerns or nonpayment.

CONFIDENTIALITY

Each party agrees to hold in confidence and not disclose any proprietary, financial, medical, or other confidential information obtained from the other party in connection with this Agreement, except as required by law or with prior written consent. Confidential information does not include information that is or becomes generally known to the public other than through a breach of this Agreement.

RELEASE, ASSUMPTION OF RISK, AND INDEMNITY

Participant knowingly and voluntarily assumes all risks associated with participation in the Activities, whether known or unknown, including but not limited to physical injury, illness, property damage, and death. Participant releases Organization and its officers, directors, employees, agents, volunteers, and affiliates (collectively, "Released Parties") from any and all liability, claims, demands, causes of action, losses, costs, and expenses arising out of or in connection with Participant's participation, except to the extent such liability arises from the gross negligence or willful misconduct of the Released Parties.

Participant shall indemnify, defend, and hold harmless the Released Parties from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or resulting from Participant's negligence, acts, omissions, or breach of this Agreement.

MEDICAL CONSENT AND HEALTH INFORMATION

Participant certifies that Participant is physically fit to participate and has no medical or psychological condition that would limit safe participation, except as disclosed below. Participant authorizes Organization to obtain medical treatment in the event of injury or illness and agrees to be financially responsible for any such treatment.

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction selected below. Any dispute arising out of or relating to this Agreement shall be resolved in the applicable state or federal courts located in that jurisdiction unless otherwise agreed in writing.

Governing Law Jurisdiction:

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, understandings, and representations, whether oral or written.
