Adult Service Agreement

This Adult Service Agreement (Agreement) is entered into as of Effective Date: by and between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client desires to engage Provider to furnish adult services as described in this Agreement, which may include non-medical personal care, assistance with activities of daily living, companionship, and related supportive services (Services); and

WHEREAS, Provider represents that Provider is qualified, experienced, and properly authorized where required to perform the Services and that Provider will perform the Services in a professional manner consistent with industry standards; and

WHEREAS, the parties wish to set forth their respective rights and obligations concerning the provision of Services and related payment.

Scope of Work

Provider will perform the Services described below. The Services shall be performed at locations and times agreed by the parties and in accordance with any individualized service plan if applicable.

Payment Terms

Client shall pay Provider the fees set forth below in consideration for Services rendered. Provider shall submit invoices in accordance with the agreed billing schedule.

One-time Weekly Bi-weekly Monthly Per service

Late payments shall incur interest and fees as specified below. Client agrees to reimburse Provider for reasonable collection costs, including attorney fees, incurred in enforcing payment obligations.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure the breach within the notice period above after receipt of written notice. Provider may terminate immediately for conduct by Client that jeopardizes Provider or Provider personnel. Termination shall not relieve Client of the obligation to pay for Services performed and expenses incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other in any form that is designated confidential or that a reasonable person would understand to be confidential under the circumstances. Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) is lawfully obtained from a third party without restriction; or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

The receiving party shall: (i) hold Confidential Information in strict confidence; (ii) not disclose it to third parties except to its employees or contractors with a need to know and who are bound by confidentiality obligations; and (iii) use Confidential Information solely to perform obligations under this Agreement. Upon termination or upon request, receiving party shall return or destroy confidential materials as requested.

Independent Contractor; Compliance

Provider is an independent contractor and not an employee of Client. Provider shall be solely responsible for all employment taxes, insurance, and other obligations for Provider and its personnel. Each party shall comply with applicable laws and regulations in performing its obligations. Each party represents and warrants that it is eighteen (18) years of age or older and has full authority to enter into this Agreement.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from its breach of this Agreement, willful misconduct, or negligence. Except for liability arising from gross negligence, willful misconduct, or indemnification obligations, neither party shall be liable to the other for consequential, incidental, special, or punitive damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, together with any exhibits or schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous negotiations, representations, or agreements, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

Each party acknowledges that it has read, understands, and agrees to be bound by the terms of this Agreement, that it had the opportunity to seek independent advice, and that the individuals signing below are authorized to bind their respective parties.
