ADVENTURE TRIP LIABILITY WAIVER

Parties and Recitals

This Adventure Trip Liability Waiver ("Agreement") is entered into by and between Operator: and Participant: .

WHEREAS, Operator is in the business of organizing, guiding and supporting adventure trips, excursions and related activities (collectively, the "Activities"); and

WHEREAS, Participant wishes to participate in the Activities offered by Operator and acknowledges the inherent risks associated with such Activities; and

WHEREAS, the parties desire to set forth the terms and conditions under which Participant will participate and to allocate the risks associated with the Activities.

Scope of Activities

Participant acknowledges that the Activities may include, without limitation, hiking, climbing, water-based activities, off-trail travel, use of ropes or harnesses, transportation over unpaved roads, remote travel and exposure to natural hazards. Participant voluntarily elects to participate despite these risks.

Payment Terms

Balance Due Date:

Payment shall be made in United States currency unless otherwise agreed in writing. Failure to pay any amount when due permits Operator to cancel Participant's reservation and to pursue any remedies available under this Agreement and at law.

Operator may terminate Participant's participation for material breach, failure to follow directions, or behaviour presenting safety risk. Participant may cancel subject to the refund and cancellation policy set forth by Operator.

Assumption of Risk, Release and Indemnity

Participant expressly acknowledges and agrees:

1. ASSUMPTION OF RISK: Participant understands that the Activities involve inherent risks, including but not limited to serious bodily injury, disability, paralysis, and death. Participant VOLUNTARILY ASSUMES ALL RISKS associated with participation.

2. RELEASE: To the fullest extent permitted by law, Participant releases, waives, and discharges Operator, its owners, officers, employees, agents and contractors (collectively, "Released Parties") from any and all claims, liabilities, demands, causes of action or suits arising out of or resulting from Participant's participation in the Activities, whether caused by the negligence of the Released Parties or otherwise.

3. INDEMNITY: Participant shall indemnify and hold harmless the Released Parties from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from Participant's acts or omissions during the Activities or breach of this Agreement.

Medical, Fitness and Emergency Information

Participant represents that Participant is physically fit, has sufficiently trained for the Activities and has not been advised otherwise by a qualified medical professional. Participant agrees to notify Operator of any change in medical condition prior to departure.

Acknowledgments and Consents

Confidentiality

Each party agrees to keep confidential any proprietary or commercially sensitive information disclosed by the other party in connection with the Activities, except information that is or becomes public through no fault of the receiving party, is already known to the receiving party, or is required to be disclosed by law or court order.

Governing Law; Entire Agreement; Severability

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, representations and understandings, whether oral or written. Any modification must be in writing and signed by both parties.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Miscellaneous Provisions

Participant agrees to follow all reasonable instructions of Operator and its guides. Participant will wear required safety equipment and will not participate while under the influence of alcohol or drugs.

Any disputes arising out of or relating to this Agreement shall be resolved first by mediation, then, if unresolved, by litigation in the courts located in the governing state specified above.
