The Agency will produce and deliver the following items in accordance with the schedule and specifications set forth below. Each deliverable must meet the technical and creative specifications approved in writing by the Brand prior to final delivery.

Compensation and Payment

In consideration for the Services, Brand will pay Agency as follows. All amounts are exclusive of applicable taxes unless otherwise stated. Late payments are subject to interest at the lesser of 1.5% per month or the maximum allowed by law.

Usage Rights and Intellectual Property

Subject to Brand's full payment of all amounts due, Agency hereby grants Brand a non-exclusive / exclusive (select below) license as set forth herein to use the Deliverables. Unless otherwise expressly agreed in writing, Agency retains ownership of pre-existing materials and any underlying raw files.

FTC Disclosure Compliance

Agency represents and warrants that all Deliverables that constitute endorsements, sponsored content, or promotional posts will include clear and conspicuous disclosures of the commercial relationship in compliance with applicable advertising and consumer protection laws and regulations. Agency shall provide drafts of disclosures to Brand for prior approval when reasonably requested.

Agency acknowledges and will comply with disclosure requirements for sponsored content.

Exclusivity

During the Exclusivity Period specified below, Agency will not produce promotional content for competitors of Brand in the same product category without Brand's prior written consent.

Termination and Kill Fee

Either party may terminate this Agreement upon written notice for material breach if the breach is not cured within the Cure Period. Brand may terminate for convenience with prior written notice and payment of the Kill Fee defined below.

Representations, Warranties, and Indemnities

Each party represents and warrants that it has authority to enter into this Agreement. Agency warrants that Deliverables will be original, will not infringe third-party rights, and will comply with applicable laws. Agency shall indemnify and defend Brand from third-party claims arising from Agency's breach of these warranties. Brand shall indemnify Agency for claims arising from Brand-provided materials or instructions that infringe third-party rights.

Limitation of Liability and Insurance

Neither party shall be liable for consequential, incidental, or punitive damages except for liability arising from gross negligence, willful misconduct, or indemnification obligations. Agency agrees to maintain commercially reasonable liability insurance and provide proof upon Brand's request.

Confidentiality

Each party shall treat the other's confidential information as confidential and shall not disclose or use such information except as necessary to perform this Agreement. Confidentiality obligations survive termination for a period of two years.

Notices

All notices under this Agreement must be in writing and delivered to the addresses below via certified mail, courier, or email with delivery confirmation where permitted.

Governing Law and Dispute Resolution

This Agreement shall be governed by the laws specified below. Parties shall attempt to resolve disputes through negotiation and, if unresolved, submit to binding arbitration in the agreed jurisdiction.

Miscellaneous

This Agreement, together with any attachments, schedules, or statements of work executed by the parties, constitutes the entire agreement and supersedes prior agreements. Amendments must be in writing and signed by authorized representatives of both parties. If any provision is held unenforceable, remaining provisions remain in full force.
