Advertiser represents and warrants that all advertising content complies with applicable laws, rules on deceptive advertising, and endorsement disclosure requirements. Publisher shall not be liable for advertiser content that violates such laws; advertiser shall indemnify publisher for third-party claims arising from noncompliant content.

Termination & Cancellation

Either party may terminate this Insertion Order for material breach if such breach remains uncured for the number of days set forth below following written notice.

Representations, Indemnity & Liability

Advertiser represents and warrants that it has all necessary rights in the creative and materials provided. Advertiser shall indemnify and hold harmless Publisher and its affiliates from third-party claims arising out of advertiser content, including claims of infringement, defamation, or false advertising. Publisher shall indemnify advertiser for claims arising from publisher's gross negligence in placement or measurement only.

Neither party shall be liable for consequential, incidental, or punitive damages. The parties' aggregate liability for direct damages shall be limited to the total amounts paid or payable under this Insertion Order in the six months preceding the claim.

Confidentiality, Force Majeure & Governing Law

Each party will treat non-public pricing and campaign performance information as confidential. Neither party will be liable for failure to perform due to causes beyond its reasonable control, including acts of God, strikes, or network outages. This Insertion Order shall be governed by the laws of the state specified below without regard to conflict-of-law rules.

By signing below, Advertiser and Publisher each authorize placement of the advertising described herein under the terms of this Insertion Order and hereby incorporate any applicable master services agreement or insertion order terms between the parties. If no master agreement exists, the terms set forth in this document govern the relationship.
