Payment is due in accordance with the Payment Terms set forth above. If full payment is not received by the Due Date, the Adviser may assess interest on the unpaid balance at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. Interest shall accrue from the Due Date until payment is received in full.

The Client shall notify the Adviser in writing of any bona fide dispute regarding invoice amounts within fifteen (15) calendar days of the Invoice Date. Failure to timely notify constitutes acceptance of the invoice as rendered. Except for amounts reasonably disputed in good faith, the Client remains obligated to pay undisputed amounts when due.

All fees and expenses are exclusive of taxes unless otherwise stated. The Client is responsible for any sales, value added, withholding or other taxes that are required to be collected or withheld by applicable law, excluding taxes based on the Adviser’s net income. Collection costs, legal fees and other expenses incurred by the Adviser in recovering overdue amounts are payable by the Client.

The Adviser hereby certifies that the services billed herein were performed in accordance with the engagement terms and that the invoiced amounts are true, accurate and due and payable. Acceptance of payment does not constitute a waiver of any right to recover additional sums under the engagement agreement where applicable.
