What an Advisory Group Agreement Is

An Advisory Group Agreement is a written contract that defines the relationship between a company and one or more advisors who provide strategic, technical, or industry guidance. It typically covers scope of services, time commitment, compensation (cash, equity, or both), confidentiality, intellectual property treatment, term and termination, conflict-of-interest rules, and reporting or meeting expectations. The agreement clarifies expectations to reduce disputes, preserve company IP, and document any advisor rights or obligations for governance and compliance purposes.

Why a Clear Advisory Group Agreement Matters

A well-drafted Advisory Group Agreement reduces ambiguity about duties, protects intellectual property, sets compensation terms, and spells out confidentiality and noncompete limits. It helps establish enforceable rights while documenting compliance with corporate governance and tax reporting obligations.
