© 2000 Cottonwood Equestrian Publications BILL OF SALE WITHOUT WARRANTIES WITNESS THIS AGREEMENT this ______ day of _______________, 20____, by and between ________________, hereinafter referred to as "Seller" and __________________________________, hereinafter referred to as "Buyer." For and in consideration of the sum of $_________________, Seller agrees to sell and Buyer agrees to buy _________________ _____________________________, a ____________ horse, free and clear of all encumbrances. BUYER UNDERSTANDS THERE ARE NO WARRANTIES EXPRESSED OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO SAID ANIMAL AS ABOVE-DESCRIBED AND THAT SAID ANIMAL IS BEING SOLD IN AN “AS-IS” OR “WITH-ALL-FAULTS” CONDITION. BUYER UNDERSTANDS AND ACKNOWLEDGES THAT BUYER HAS THE RIGHT TO HAVE A PRE-PURCHASE EXAMINATION PERFORMED BY THE VETERINARIAN OF HIS OR HER CHOICE AT HIS OR HER EXPENSE PRIOR TO EXECUTION OF THIS AGREEMENT. IN THE EVENT BUYER ELECTS NOT TO HAVE A VETERINARIAN PERFORM A PRE-PURCHASE EXAMINATION OF SAID HORSE AS ABOVE-DESCRIBED, BUYER WAIVES ANY AND ALL RIGHTS, CLAIMS OR CAUSES OF ACTION AGAINST SELLER FOR ANY PATENT OR LATENT DEFECTS PERTAINING TO THE ANIMAL AS ABOVE-DESCRIBED. The parties acknowledge that all dealing between them with regard to representations, conditions of sale and terms of payment are hereby merged with the terms of this agreement. The purchase price as above-stated is due under the following conditions:
a. As consideration for the above described horse, the parties agree to pay to each other, cash or such other tangible personal property of buyer as equal value as reasonably can be ascertained in the circumstances including without limitation the following items:(i) 20, , to be agreed upon within the next business day. B. This price includes the transportation of said horse, and the handling, loading, and delivery of the horse, whether the horse is delivered direct to buyer upon the buyer's premises or is transported on the premises of buyer to any other place and whether the horse is in immediate possession, ownership or care of buyer. Any other consideration in the amount of or more is strictly prohibited. C. Upon sale of this horse, the seller agrees to assign the title of the horse to the buyer and to deliver all horses belonging to the seller under title of the seller. This assignment shall take effect on delivery of the horse, or at a time and place specified by seller which shall be in the discretion of seller. D. No payment for this horse is due or payable to the seller until buyer has completed the pre-purchase investigation provided by the seller with buyer's approval. E. The buyer will pay his or her own expenses and the costs of loading the horse including any additional charges for transportation with buyer's permission. F. The buyer understands the horse is being sold as is and that it is not a racehorse. G. In the event the horse cannot be delivered to the buyer within 30 days from the time the horse is paid for and the seller will not be permitted to repurchase the said horse within the 60-day period prescribed by law, the seller may sell such horse to another suitable buyer at the same price. H. If buyer makes payment in full before such seller may repurchase the horse, the buyer agrees to cover the cost of transporting and storing the horse, including any costs of any additional repurchase by the seller of the same horse. If buyer fails to make this payment, the parties agree the seller may repurchase the horse for a sum mutually agreed upon. In the event buyer fails to return the horse, the seller may not be permitted to repurchase the same horse. Buyer hereby assents to his or her delivery to seller by any shipper, broker or agent of the seller within the next 30 days of the date buyer has made such contract with seller.
