What an Affiliate Partnership Agreement Covers

The Affiliate Partnership Agreement is a written contract between a business and an affiliate that documents referral terms, commission rates, payment schedules, permitted promotional methods, tracking and attribution rules, intellectual property licenses, confidentiality obligations, compliance with advertising and privacy laws, and termination mechanics. It allocates responsibilities for reporting, dispute resolution, indemnity, and tax information exchange. Clear, written terms reduce ambiguity about compensation, protect brand assets, and provide a record that supports enforcement or remediation when parties disagree about conversions, fraud, or commission calculations.

Why a Written Affiliate Agreement Matters

A clear Affiliate Partnership Agreement reduces disputes over commissions, defines acceptable promotional practices, and documents obligations that protect both parties. When executed electronically under ESIGN (15 U.S.C. ch. 96) or a state UETA framework, retained records and audit trails strengthen enforceability and evidentiary value in commercial disputes.

Why a Written Affiliate Agreement Matters

Who Prepares and Signs This Agreement

Typical preparers and signers include in-house legal, marketing leaders, and independent affiliates who need written commission and compliance terms.

  • Marketing managers overseeing partner programs, tracking conversions, and approving promotional creatives.
  • Legal counsel drafting compensation, IP, confidentiality, and termination clauses to reduce litigation risk.
  • Independent affiliates or agencies agreeing to commission structures, promotional limits, and payment schedules.

Confirm each signer has authority to bind their organization and that requested tax and payment details are accurate before execution.

Representative Signing Authorities

Company Executive

An authorized officer or manager who can bind the business should sign on the company side. Ensure board or internal delegation exists for signature authority and that the signer’s title matches corporate records.

Affiliate Owner

The individual or authorized agent of the affiliate must sign and provide taxpayer information. For agencies, include a statement confirming authority to represent client affiliates and invoice on their behalf.

Essential Clauses to Include

A professional Affiliate Partnership Agreement addresses compensation mechanics, tracking, IP rights, confidentiality, term and termination, and compliance with applicable laws.

Compensation

Payment Terms

State payment schedule, required invoices or statements, tax documentation prerequisites, late payment remedies, and who bears transaction or transfer fees.

Intellectual Property

Grant narrow, revocable rights to use logos and marketing materials, require brand approval for creative, and reserve ownership of trademarks and proprietary content.

Confidentiality & Data

Protect confidential business information, restrict disclosure of referral data, and require compliance with applicable privacy laws such as CCPA/CPRA where relevant.
