AFS-PAR Agreement

This AFS-PAR Agreement ("Agreement") is entered into as of by and between ("Service Provider") and ("Client").

WHEREAS

WHEREAS, Service Provider possesses expertise in accounting, financial systems, and performance assessment reporting relevant to the Client's operations and desires to provide services described herein; and

WHEREAS, Client requires the provision of AFS-PAR services to improve, reconcile, and report financial and performance metrics in accordance with the scope set forth below; and

WHEREAS, the parties desire to establish the terms and conditions under which Service Provider will deliver such services.

Scope of Work

Service Provider shall perform the AFS-PAR services described below. Deliverables, milestones, acceptance criteria, and responsibilities of each party shall be set forth in the scope below.

Payment Terms

In consideration for performance of the services, Client shall pay Service Provider in accordance with the following terms. All payments are due in United States dollars unless otherwise agreed in writing.

Late payments shall bear interest and fees as specified below if not received by Service Provider within the applicable payment period.

Term and Termination

Term: This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Termination: Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Either party may terminate for cause upon a material breach that remains uncured for a period of thirty (30) days after receipt of written notice of such breach.

Confidentiality

For the purposes of this Agreement, "Confidential Information" means all non-public information disclosed by one party to the other in any form that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Service Provider and Client agree:

(a) To hold all Confidential Information in strict confidence and to use it solely to perform obligations under this Agreement; (b) not to disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) to take reasonable measures to protect Confidential Information from unauthorized use or disclosure. Confidential Information does not include information that is or becomes generally available to the public other than through a breach of this Agreement, or that is independently developed without use of the disclosing party's Confidential Information.

Representations, Warranties, and Indemnity

Each party represents and warrants that it has full power and authority to enter into this Agreement and perform its obligations. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. Each party shall indemnify and hold the other harmless from claims arising out of its gross negligence, willful misconduct, or material breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles.

Entire Agreement

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous negotiations, understandings, and agreements, whether written or oral. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that either party may assign to an affiliate or to a successor in interest arising from a merger or sale of substantially all assets.
