Applicant describes the services for which approval is sought and the precise deliverables. Applicant acknowledges that acceptance of this Application by Company defines the initial scope; any amendment requires written agreement.

PAYMENT TERMS

Company will compensate Applicant in accordance with the following terms. Applicant's compensation will be payable only after submission of a proper invoice and acceptance of deliverables as set forth in the Scope of Work.

TERM AND TERMINATION

The term of engagement will commence on the Start Date and continue until the End Date unless earlier terminated as provided below.

Either party may terminate this Agreement for material breach if the breach is not cured within the notice period specified above. Termination does not relieve Company of payment obligations for services performed and accepted through the effective date of termination.

CONFIDENTIALITY

Applicant acknowledges that it may receive Confidential Information of Company. Applicant shall hold such information in strict confidence, shall not disclose it to third parties without prior written consent, and shall use the information only to perform services under this Agreement. Confidential Information excludes information that is publicly available through no fault of Applicant or that is independently developed without use of Company Confidential Information.

COMPLIANCE, REPRESENTATIONS AND BACKGROUND CHECKS

Applicant represents and warrants that all information provided in this Application is true, accurate and complete. Applicant agrees to comply with all applicable laws and to obtain and maintain any required licenses, permits or insurance. Company reserves the right to require background checks or additional documentation prior to final approval.

Applicant consents to Company conducting background, credit or reference checks as reasonably necessary to evaluate this Application:

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state designated by Company as the governing forum. The parties agree that exclusive jurisdiction for any dispute arising under or related to this Agreement shall be the state or federal courts located in the governing forum.

ENTIRE AGREEMENT

This Application together with any schedules, accepted purchase orders and subsequent written agreements executed by authorized representatives of both parties constitute the entire agreement between the parties with respect to the subject matter and supersede all prior and contemporaneous proposals, negotiations, representations and agreements, whether written or oral. Modifications to this Agreement must be in writing and signed by both parties.
