Recitals

WHEREAS, Agency Name: is engaged in the business of providing creative and marketing services; and

Invoices will be submitted to Client and are due within days of receipt. Late payments shall accrue interest at % per month or the maximum permitted by law, whichever is less, plus reasonable collection costs.

Term and Termination

This Agreement commences on Start Date: and, unless earlier terminated as provided herein, will continue until End Date: or until completion of the services.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to termination. Termination for material breach shall be effective upon written notice if the breach is not cured within thirty (30) days of receipt of notice.

Confidentiality

Each party (the "Receiving Party") acknowledges that it may receive Confidential Information of the other party (the "Disclosing Party"). Confidential Information means non-public information disclosed in written, electronic, or oral form that is designated as confidential or that reasonably should be understood to be confidential.

The Receiving Party shall (a) use the Confidential Information solely to perform its obligations under this Agreement; (b) protect such Confidential Information with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Confidential Information does not include information that (i) is or becomes public without breach of this Agreement, (ii) is known to the Receiving Party prior to disclosure without restriction, (iii) is rightfully received from a third party without duty of confidentiality, or (iv) is independently developed without use of the Disclosing Party's Confidential Information. Upon termination or request, the Receiving Party will return or destroy Confidential Information and certify in writing the completion of such return or destruction.

Intellectual Property and Work Product

Unless otherwise agreed in writing, upon full payment of all fees due, Agency assigns to Client all right, title, and interest in and to deliverables created specifically for Client under this Agreement (the "Work Product"). Agency retains all rights in Agency pre-existing materials, tools, know-how, and methodologies, and grants Client a non-exclusive, perpetual license to incorporate any such pre-existing materials embedded within the Work Product solely as incorporated in the delivered Work Product.

Indemnification and Limitation of Liability

Each party shall indemnify, defend, and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct. Except for each party's indemnification obligations, liability for either party arising out of or related to this Agreement shall not exceed the total fees actually paid by Client to Agency under this Agreement during the twelve (12) months preceding the claim. Neither party shall be liable for incidental, consequential, or punitive damages except in cases of willful misconduct or fraud.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice-of-law principles. The parties agree to attempt in good faith to resolve disputes promptly by negotiations between executives and, if unresolved, to submit disputes to non-binding mediation prior to commencing litigation.

Representations; Entire Agreement

Each party represents that it has full authority to enter into this Agreement and that the person signing on its behalf is authorized to bind the party. This Agreement, together with any exhibits or statements of work referenced herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral.

Any amendment to this Agreement must be in writing and signed by duly authorized representatives of both parties. Notices shall be in writing and delivered to the addresses set forth in this Agreement or to such other address as a party may designate in writing.
