By submitting this invoice, the Agency certifies that the charges detailed herein are true, accurate, and in accordance with the governing contract, purchase order, or authorized scope of work. The Client shall pay undisputed amounts in accordance with the Payment Terms stated above.

Late Payment: Unpaid amounts shall accrue interest at a rate of 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower, calculated from the due date until paid in full. Agency reserves the right to suspend services for delinquent accounts and to recover collection costs, including reasonable attorneys' fees.

Disputes: The Client must notify the Agency in writing of any dispute to an invoice within 15 calendar days of Invoice Date, stating the nature of the dispute and the specific line items affected. Failure to timely dispute an invoice shall constitute acceptance of the invoice as rendered.

Taxes and Withholding: Unless otherwise stated, amounts do not include taxes. The Client is responsible for any applicable sales, value-added, or other transactional taxes. If the Client is required by law to withhold taxes from payment, the Client must provide proof of withholding and remit withheld amounts to the appropriate authority; the Agency will receive credit for amounts withheld.
