AGREEMENT EXTENSION FOR SERVICES

This Agreement Extension for Services ("Extension") is entered into as of the Effective Date set forth below by and between the parties identified herein to extend and modify the original Services Agreement between the parties.

WHEREAS

WHEREAS, Client Name: and Service Provider Name: are parties to a Services Agreement dated: (the "Original Agreement").

WHEREAS, the parties desire to extend certain terms of the Original Agreement and to set forth agreed modifications to the Scope of Work and Payment Terms as set forth in this Extension.

EXTENSION AND AMENDMENT

1. Extension of Term. The Term of the Original Agreement is hereby extended. The Extension Effective Date is and the Extended Term shall expire on , unless earlier terminated in accordance with this Extension or the Original Agreement.

2. No Other Modifications. Except as expressly amended by this Extension, all terms, covenants and conditions of the Original Agreement shall remain in full force and effect. In the event of a conflict between this Extension and the Original Agreement, the terms of this Extension shall control.

SCOPE OF WORK

PAYMENT TERMS

All invoices shall be issued in accordance with the Payment Schedule. Unless otherwise agreed in writing, payment not received within thirty (30) days of the invoice date shall be subject to the Late Payment Fee described above and interest at the maximum rate permitted by applicable law. The Service Provider shall not suspend performance for a disputed invoice that is being litigated or reasonably disputed in good faith, provided the disputing party timely provides written notice and supporting documentation.

TERM AND TERMINATION

This Extension commences on the Extension Effective Date and continues through the Extended End Date, unless earlier terminated in accordance with the Original Agreement or this Section. Either party may terminate this Extension for convenience by providing written notice to the other party at least days prior to the proposed termination date. Termination for material breach shall be governed by the Original Agreement but shall be effective only after any cure periods set forth therein have expired without cure.

CONFIDENTIALITY

All Confidential Information exchanged under the Original Agreement and this Extension shall continue to be protected in accordance with the confidentiality provisions of the Original Agreement. Each party agrees to hold all Confidential Information in strict confidence, to use it solely for the purposes contemplated by the Original Agreement and this Extension, and to limit disclosure to those employees, contractors or agents who have a legitimate need to know and are bound by confidentiality obligations no less protective than those contained herein.

GOVERNING LAW

This Extension shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law. Each party consents to the exclusive jurisdiction and venue of the state and federal courts located in such state for any dispute arising out of or relating to this Extension.

ENTIRE AGREEMENT

This Extension, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or understandings, whether written or oral. No amendment to this Extension shall be effective unless in writing and signed by authorized representatives of both parties.

The parties represent and warrant that they have the authority to enter into this Extension and that all corporate or other organizational approvals required to bind each party have been obtained.
