Agreement between Photographer and Purchaser of Photographs Agreement made on the ___ day of __________, 20___, between ________________________ , a corporation organized and existing under the laws of the state of ______________, with its principal office located at __________________________________ (street address, city, county, state, zip code) , referred to herein as Company, and _______________________ of ______________________________________________ (street address, city, county, state, zip code) , referred to herein as Photographer. Whereas, Company wishes to contract with Photographer to make photographs of _______________________ _______________________ _______________________ (general description) and to sell said photographs to Company . Whereas, Photographer is willing and qualified to perform such services; Now, therefore, for and in consideration of the matters described above, and of the mutual benefits and obligations set forth in this Agreement, the parties agree as follows: 1. Services It is understood and agreed that the services provided by Photographer pursuant to this Agreement shall be provided on an as-needed basis at times mutually agreeable to Photographer and Company . Company shall have sole discretion to determine the need for the continued providing of such services. Photographer agrees to perform such services as may be requested by Company , including, but not limited to, _______________________________________ ______________________________________________ (description of services and types of photographs to be sold) . 2. Employees of Photographer If employees of Photographer also perform services for Company under and pursuant this Agreement, they shall be bound by the provisions of this Agreement. 4. Confidentiality Photographer agrees that all knowledge and information that Photographer may receive from Company or from its employees, or by virtue of the performance of services under and pursuant to this Agreement, relating to inventions, products, processes, machinery, apparatus, prices, discounts, costs, business affairs, trade secrets, future plans, or technical data that belong to Company shall be regarded by Photographer as strictly confidential and held by Photographer in confidence. 5. Reproductions Photographer may not sell the same photos taken pursuant to this Agreement to businesses, organizations, or individuals that are in competition with Company nor may Photographer create and sell products from such photos to businesses, organizations, or individuals that compete with the Company. The obligations of Photographer under this Paragraphs shall survive any expiration or termination of this Agreement 6. Duration and Termination This Agreement shall become effective on the date stated above and shall continue for a period of _______days. In addition to terminating at the end of such period, this Agreement may be terminated pursuant to the following: A. Immediately on the death or incapacity of Photographer; or B. By either party, with or without cause at any time, on _______days' prior written notice. 7. Injuries to Photographer Photographer waives any rights to recovery from Company for any injuries that Photographer may sustain while performing services under and pursuant to this Agreement and that are a result of Photographer’s own negligence. 8. Assignments The rights of Photographer under this Agreement are personal to Photographer and may not be assigned or transferred to any other person, firm, or corporation without the prior, express, and written consent of Photographer . 9. Modifications to Agreement Any modification of this agreement or additional obligation assumed by either party in connection with this agreement shall be binding only if evidenced in writing signed by each party or an authorized representative of each party. 10. Notices Any notice provided for or concerning this Agreement shall be in writing and be deemed sufficiently given when sent by certified or registered mail if sent to the respective address of each party as set forth at the beginning of this Agreement. 11. Governing Law This agreement shall be governed by, construed, and enforced in accordance with the laws of the State of _____________. 12. Status as an Independent Contractor Photographer acknowledges that he is an independent contractor and is not an agent, partner, joint venturer nor employee of Company. Photographer shall have no authority to bind or otherwise obligate Company in any manner nor shall Photographer represent to anyone that he has a right to do so. 13. Arbitration Any dispute under this Agreement shall be required to be resolved by binding arbitration of the parties hereto. If the parties cannot agree on an arbitrator, each party shall select one arbitrator and both arbitrators shall then select a third. The third arbitrator so selected shall arbitrate said dispute. The arbitration shall be governed by the rules of the American Arbitration Association then in force and effect.
