What an Agricultural Agreement Is and When It Applies

An Agricultural Agreement is a written contract that sets the rights and obligations between parties engaged in farm-related transactions, such as lease of farmland, crop-share arrangements, purchase of agricultural products, or services for cultivation and harvest. It defines the parties, land or commodity description, term, payment or consideration, risk allocation, and any performance or insurance requirements. Properly drafted Agricultural Agreements reduce ambiguity about delivery, liability, and title issues and provide a clear basis for enforcement if disputes arise, especially where land use or seasonal performance creates time-sensitive obligations.

Why an Agricultural Agreement Matters for Risk and Performance

A clear Agricultural Agreement protects property and financial interests by documenting duties, payment terms, and remedies. It establishes expectations across planting, harvesting, and delivery cycles and creates enforceable rights under U.S. electronic signature laws (ESIGN and state UETA statutes).

Why an Agricultural Agreement Matters for Risk and Performance

Who Commonly Uses Agricultural Agreements

Agricultural Agreements are used by parties across the agricultural supply chain to allocate risk and set commercial terms.

  • Farmers and growers who lease land, contract custom work, or enter crop-share arrangements to document responsibilities and payment terms.
  • Landowners and landlords who lease acreage for seasonal use, requiring clear maintenance, termination, and repair clauses.
  • Buyers, cooperatives, and processors who contract for crop deliveries, quality standards, and inspection protocols.

Parties should confirm signatory authority and any industry-specific requirements before execution.

Essential Components to Include in a Professional Agricultural Agreement

A robust Agricultural Agreement contains specific sections that reduce future disputes. The items below describe core elements that should be present and clearly worded.

Parties

Full legal names and entity types for each contracting party, including any DBAs and contact details for notices.

Property Description

Precise land or commodity description, including legal land description, parcel numbers, or crop grades and measurement methods.

Term and Termination

Start and end dates, renewal mechanics, notice periods, and grounds for early termination or suspension.

Consideration

Payment amounts, frequency, in-kind compensation, price adjustments, delivery terms, and who bears transport costs.

Risk Allocation

Insurance, indemnity, force majeure, crop loss allocation, and responsibility for pests, drought, or disease.

Execution and Recordation

Signature blocks, notarization or witness requirements where needed, and instructions for recording or filing if interests affect title.

Step-by-Step: Preparing and Signing an Agricultural Agreement

Follow these sequential steps to prepare, approve, and finalize an Agricultural Agreement with clarity and legal compliance.

  • 01
Draft the Agreement: Compile parties, property, term, consideration, and performance obligations.
  • 02
Review and Negotiate: Confirm price, delivery, insurance, and termination; involve counsel if complex.
  • 03
Execute and Authenticate: Sign, date, notarize or witness as required by state law.
  • 04
Distribute and Record: Provide executed copies to all parties and record if it affects property title.

Configuring an Online Workflow for an Agricultural Agreement

Set up a digital workflow that assigns fields, authentication, and routing to match your execution process.

Field Configuration
Party Fields Auto-fill names, addresses, and tax IDs
Signature Order Define signer sequence or parallel signing
Authentication Use email, SMS code, or stronger methods
Audit Trail Enable IP, timestamp, and action logs

Digital Signing and eSubmission: Platform Considerations

Choose a platform that supports required authentication, audit trails, and integrations with your existing systems.

  • Authentication: Email, SMS, or KBA options
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Document Formats: PDF, DOCX, or HTML supported

Ensure the selected solution meets legal requirements (ESIGN/UETA) and any sector-specific rules before accepting electronic execution.

Where to Send, File, or Record an Agricultural Agreement

Different agreement types require different final routing — follow this checklist to ensure proper delivery and recording.

  • To Parties: Provide executed copies to all named parties
  • County Recorder: Record only if agreement creates an interest in land
  • Lenders: Send copies to mortgagees if required by loan covenants
  • Tax and Payment Records: Retain for accounting and 1099 reporting purposes

Timing, Deadlines, and Typical Processing Expectations

Agricultural Agreements often align with planting and harvest calendars; specify deadlines that reflect seasonal realities and tax or reporting deadlines.

Effective Date:

Enter exact MM/DD/YYYY start date

Payment Due Dates:

List specific due dates or trigger events

Delivery Windows:

Define harvest windows and inspection periods

Recording Deadline:

Record before transfer of title if required

Tax Reporting:

1099-NEC and other forms due Jan 31

Common Mistakes to Avoid When Preparing an Agricultural Agreement

  • Using informal land descriptions instead of legal parcel numbers or metes-and-bounds that are required for recording.
  • Leaving payment terms vague or tied to undefined factors, which creates disputes at harvest or delivery.
  • Failing to address seasonal contingencies such as crop failure, weather delays, or force majeure events.
  • Omitting signer capacity or authority checks, resulting in signatures that may not bind the entity.

Penalties and Legal Risks of an Incorrect or Incomplete Agreement

Contract Breach: Damages, specific performance, or termination
Recording Errors: Lost priority or clouded title
Tax Penalties: 1099 reporting fines under IRC §6721
Backup Withholding: 24% withholding for missing TINs
Insurance Gaps: Uninsured loss exposure
Enforceability: Invalid signatures without required authentication

Security and Compliance Considerations for Electronic Execution
