What an Agricultural Business Agreement Covers

An Agricultural Business Agreement is a written contract that defines the rights and obligations of parties engaged in farming-related commerce, including land leases, crop-share arrangements, equipment leases, commodity sales, and joint ventures. It typically identifies the parties, describes the land or assets, sets payment and delivery terms, allocates risk and insurance obligations, and establishes performance standards and dispute-resolution procedures. Well-drafted agreements reduce ambiguity about seasonal obligations, harvest sharing, input supplies, environmental compliance, and recordkeeping required for taxes, subsidies, and lender covenants.

Why a Clear Agreement Matters for Agricultural Operations

A clear Agricultural Business Agreement protects economic interests, helps manage seasonal risk, and documents responsibilities that affect crop yields, input costs, and financing. It supports compliance with lending covenants, subsidy programs, and tax reporting requirements.

Why a Clear Agreement Matters for Agricultural Operations

Who Typically Prepares and Signs These Agreements

Multiple stakeholders use Agricultural Business Agreements to formalize transactions and operational responsibilities before planting or asset transfer.

  • Farm owners and operators who need to allocate land use, labor, equipment, and revenue sharing.
  • Lenders and investors securing collateral, repayment terms, and reporting obligations.
  • Landlords and tenants entering seasonal leases, crop-share, or long-term land use agreements.

Use tailored language for the transaction type and involve counsel for complex financing, environmental, or long-term transfer provisions.

Essential Components to Include in the Agreement

Include these core sections so the contract is enforceable, administrable, and compatible with financing or subsidy requirements.

Parties & Definitions

Clearly identify each legal party, business entity type, and defined terms used to avoid ambiguity about obligations and rights.

Description of Assets

Specify land parcels, legal descriptions, equipment, or livestock with exhibit maps and serial numbers where applicable for enforceability and recording.

Term and Termination

State effective and expiration dates, renewal mechanics, early termination conditions, and consequences for breaches or failure to perform.

Payment and Consideration

Set out rents, crop shares, payment timing, invoicing procedures, tax treatment, and any escrow or lender payment instructions.

Insurance and Liability

Assign responsibility for insurance types, limits, and proof-of-coverage timing to reduce dispute and protect lenders and tenants.

Dispute Resolution

Include governing law, venue, arbitration or mediation procedures, and any waiver of jury trial to streamline conflict resolution.

How to Configure the Agreement for Online Completion

Set up fields, signer order, and conditional logic to streamline execution and reduce errors when using an eSignature platform.

Field Configuration
Full Legal Name Field Required; validate length and character set
Effective Date Field Date picker with MM/DD/YYYY format
Conditional Clauses Show clauses only if checkbox selected
Signer Order Define sequential or parallel signing

Where To Send or File the Completed Agreement

After execution, route signed copies to parties and any required public offices depending on the transaction type.

  • All Parties: Each signer retains a fully executed copy
  • County Recorder: Record deeds or lease instruments if required
  • Lenders or Investors: Provide executed copies to secure collateral
  • Agency Filings: Submit to USDA or state agencies when subsidies apply

Digital Signing and Delivery Considerations

Choose a platform that supports required file formats, authentication methods, and audit trails for compliance.

  • Supported Formats: PDF, DOCX, and metadata-preserving exports
  • Integrations: CRM and cloud storage support (Salesforce, NetSuite)
  • Authentication: Email link, SMS code, or advanced ID checks

Ensure the platform provides tamper-evident signed files, an audit trail, and the ability to download records for filing or lender review.

Typical Timelines and Key Deadlines

Track dates to avoid missed payments, insurance lapses, or lost recording priority; set reminders aligned with seasonal cycles.

Effective Date:

Date obligations and insurance coverage start

Payment Schedule:

Specify due dates and late payment terms

Insurance Proof Deadline:

Provide certificates before field operations begin

Recording Deadline:

Record deeds or leases promptly to protect priority

Renewal Notice:

Notice period for renewal or nonrenewal

Common Mistakes to Avoid

  • Vague land descriptions that omit legal parcel numbers or county create recording and enforcement problems.
  • Undefined payment triggers and ambiguous harvest accounting lead to disputes over timing and amount of distributions.
  • Failing to require insurance proof or naming lenders as additional insured can expose parties to uninsured loss.
  • Not clarifying environmental obligations or who pays remediation costs increases litigation risk and lender resistance.

Consequences of an Incorrect or Incomplete Agreement

Breach Damages: Monetary liability and contract claims
Recording Loss: Loss of priority for liens
Tax Exposure: Incorrect reporting or backup withholding
Subsidy Forfeiture: Loss of USDA payments or benefits
Insurance Denial: Claims rejected for coverage gaps
Regulatory Fines: State or federal compliance penalties

Typical Signatory Roles and Authority

Farm Owner / Operator

Individual or business entity that owns or manages the farmland. They sign to grant land use rights, accept payment terms, agree to maintenance responsibilities, and warrant title or authority to lease or sell the property.

Lender / Investor

Financial parties providing credit, capital, or purchase funds. They sign to accept security language, enforce lien rights, and require notice or cure periods for defaults under loan covenants.

Real-World Use Cases for the Agreement

These examples show common scenarios and the practical clauses typically included for clarity and enforceability.

Farm Lease Execution

A landowner and tenant execute a three-year lease covering grazing and crop rights, including an irrigation allocation clause.

  • Parties agree to cost-sharing for fertilizer and maintenance.
  • The agreement includes an exhibit with legal parcel and a renewal clause with 90-day written notice and insurance requirements to protect both parties.

Crop Share Joint Venture

Two operators form a crop-share arrangement allocating net proceeds and input costs by percentage, with a defined harvest accounting method.

  • One party provides equipment, the other provides labor.
  • The contract specifies measurement, payment timing, dispute escalation, and lender notice provisions to ensure transparency and funding compliance.

Practical Tips for Accurate and Efficient Agreements

Adopt standard clauses and validation steps to reduce disputes and speed execution across seasonal timelines.

Use Precise Descriptions
Attach legal descriptions, maps, and parcel IDs to eliminate ambiguity and ensure correct recording at the county office.
Standardize Payment Language
Use clear formulas for crop shares, price indexes, and late fees so accounting and tax reporting are consistent.
Require Insurance Proof
Mandate timely delivery of certificates and name lenders as additional insured when collateralized obligations exist.
Plan for Disputes
Include mediation or arbitration steps before litigation to preserve relationships and reduce costly court delays.
