Tenant shall indemnify, defend and hold Landlord harmless from and against all claims, liabilities, losses and expenses arising from Tenant's use of the Property, except to the extent caused by Landlord's gross negligence or willful misconduct.

10. Access, Inspection and Entry

Landlord and Landlord's agents shall have the right to enter the Property upon reasonable notice for inspection, showing to prospective tenants or purchasers, and to perform Landlord's obligations. For non-emergency inspections, notice of days shall be given.

11. Assignment and Subletting

Tenant shall not assign this Agreement or sublet the Property without prior written consent of Landlord, which shall not be unreasonably withheld. Transfer of control via sale or inheritance requires notice to Landlord and subject to Landlord's consent if materially changes use.

If Tenant fails to cure any material breach within days after written notice, Landlord may pursue all remedies at law or in equity including termination of this Agreement, recovery of damages, and retention of the security deposit. No single remedy shall be exclusive.

Upon termination, Tenant shall surrender the Property in broom-clean condition, remove Tenant's personal property and any removable improvements permitted under this Agreement, and repair any damage caused by removal.
