Maintenance, Improvements, and Access

Lessee shall maintain the premises in good agricultural condition, repair fences and gates as required by ordinary agricultural practice, and shall not commit waste. Permanent improvements, installations of irrigation systems, or major soil alteration require Lessor's prior written consent, and unless otherwise agreed, such improvements become part of the realty at lease termination.

Lessor or Lessor's agents may enter the premises upon reasonable notice to inspect the condition and compliance with this Agreement, except in emergencies where immediate access is permitted.

Insurance, Taxes, and Compliance

Lessee shall maintain liability insurance covering agricultural operations on the premises with limits not less than those specified by the parties: $ per occurrence, naming Lessor as additional insured when requested.

Each party shall keep confidential any proprietary or financial information received from the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law or with the other party's written consent. This obligation survives termination of this Agreement for a period of two years.

Assignment and Subletting

Lessee shall not assign this Agreement or sublet the leased premises without the prior written consent of Lessor, which shall not be unreasonably withheld. Any permitted assignee must assume all obligations of Lessee under this Agreement.

Indemnification

Lessee shall indemnify, defend and hold harmless Lessor from and against any claims, liabilities, damages or expenses (including reasonable attorney fees) arising out of Lessee's use of the premises, except to the extent caused by Lessor's gross negligence or willful misconduct.

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.
