AGRICULTURAL PRODUCT TOTE AGREEMENT

Parties and Recitals

This Agreement is entered into by and between Owner Name: , Owner Address: (hereafter "Owner"), and Holder Name: , Holder Address: (hereafter "Holder").

WHEREAS, Owner owns and, from time to time, supplies rigid bulk transport containers ("Totes") designed for carrying agricultural products and desires to make certain Totes available to Holder under the terms set forth below; and

WHEREAS, Holder desires to receive, store, transport and return such Totes in connection with the handling of agricultural product(s) described below and agrees to accept responsibility for care, cleaning, inspection and payment as provided in this Agreement; and

WHEREAS, the parties intend by this writing to set forth their entire agreement regarding the use, custody, maintenance, and return of the Totes.

Holder shall pay Owner the consideration described below in exchange for the use, custody and return of the Totes. All amounts are payable in lawful currency of the jurisdiction specified in Governing Law below.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this section.

Confidentiality

Each party shall maintain in strict confidence any non-public business, technical, personal or financial information disclosed by the other party that is identified at the time of disclosure as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information shall not include information that is or becomes generally available to the public through no fault of the receiving party or that the receiving party can demonstrate was already known to it prior to disclosure.

Liability, Indemnity and Insurance

Holder shall be responsible for loss of or damage to Totes while in Holder's possession except for ordinary wear and tear. Holder shall indemnify, defend and hold Owner harmless from and against any claims, losses or liability arising out of Holder's use, storage, transport, contamination, or failure to properly clean or return Totes, except to the extent caused by Owner's gross negligence or willful misconduct.

Each party shall comply with applicable laws, regulations, and accepted industry sanitary and safety standards applicable to the handling, storage and transport of agricultural products. Holder shall ensure Totes are used only for the products identified in this Agreement and shall not use Totes for any incompatible commodity without Owner's prior written consent.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any exhibits or attachments expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior written or oral agreements, representations and understandings. No amendment or waiver shall be effective unless in writing and signed by both parties.
