AIA Project Document

This AIA Project Document (the Agreement) is entered into as of between:

Recitals

WHEREAS, Owner is undertaking the project known as located at (the Project); and

WHEREAS, Contractor has represented that it possesses the experience, skill and resources to perform the services described herein and agrees to perform such services under the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth the scope, payment terms, scheduling, confidentiality and other terms governing their relationship with respect to the Project.

Scope of Work

Contractor shall perform and complete the work described below in a professional manner consistent with industry standards and in compliance with applicable codes and regulations. Any work outside the scope below shall require a written Change Order as set forth in this Agreement.

Payment Terms

In consideration for the performance of the Scope of Work, Owner shall pay Contractor the Contract Sum and according to the schedule specified below. All payments are subject to setoff for defects, liens, or other claims arising from Contractor's performance.

Term and Termination

This Agreement shall commence on and shall continue in full force and effect until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for cause if the other party materially breaches any obligation and fails to cure such breach within days after receipt of written notice. Owner may also terminate without cause upon days' prior written notice to Contractor; in such case Contractor shall be entitled to payment for work performed to date, subject to offsets and setoffs.

Confidentiality

Each party (the Receiving Party) shall hold in confidence and not disclose to third parties Confidential Information disclosed by the other party (the Disclosing Party). Confidential Information includes non-public technical, design, financial and business information relating to the Project, but excludes information that: (a) is or becomes publicly known through no breach of this Agreement by the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed by the Receiving Party without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates to seek confidential treatment or protective order.

Confidentiality obligations under this Agreement shall survive termination for a period of years.

Change Orders

All changes to the Scope of Work or Contract Sum shall be authorized in writing by Owner in a Change Order specifying adjustments to time, price or both. Contractor shall not proceed with changed work without a fully executed Change Order.

Insurance and Indemnity

Contractor shall maintain insurance customary for projects of similar scope, including general liability and workers' compensation, and shall indemnify and hold Owner harmless from liabilities, claims, damages or expenses arising out of Contractor's negligent performance, except to the extent caused by Owner's negligence or willful misconduct.

Notices

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict-of-law principles. The parties shall first attempt to resolve disputes through good faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules agreed upon by the parties, or if no rules are agreed, under procedures customarily used for commercial construction disputes.

Entire Agreement

This Agreement, including all exhibits and duly executed Change Orders, constitutes the entire agreement between the parties with respect to the Project and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment or waiver shall be effective unless in writing and signed by authorized representatives of both parties.
