What an Air Drops Agreement covers

An Air Drops Agreement documents the terms for distributing units of value or items to recipients on a predefined schedule or condition set. It typically identifies the parties, describes the asset or benefit being distributed (for example, tokens, promotional goods, or credits), sets eligibility and timing, and allocates rights, restrictions, and remedies. The agreement clarifies tax and regulatory responsibilities, transfer limitations, and any vesting or clawback provisions so both sender and recipient understand obligations before distribution occurs.

Why a formal agreement matters for air drops

A written Air Drops Agreement reduces ambiguity about who receives what, when, and under which conditions. It helps manage legal and tax risk, documents consent for electronic processing, and creates an auditable record of allocation, acceptance, and delivery terms.

Why a formal agreement matters for air drops

Which parties typically prepare or sign this agreement

The document is commonly completed by senders, recipient groups, and advisors who need a clear record of distribution terms.

  • Issuing organization finance or token team: drafts terms, confirms ledger records, and handles tax reporting responsibilities.
  • Individual recipients: accept allocation, confirm wallet or delivery details, and acknowledge tax treatment and restrictions.
  • Legal and compliance advisors: review transfer restrictions, securities exposure, and consumer disclosures where required.

Use the agreement to record mutual consent and to create an auditable trail for later verification, compliance, or dispute resolution.

Step-by-step: completing an Air Drops Agreement

Follow these core steps to finish the agreement and prepare for distribution.

  • 01
Draft terms: Define asset, eligibility, and restrictions.
  • 02
Collect recipient data: Obtain legal names and delivery addresses or wallet IDs.
  • 03
Execute signatures: Capture signed consent from issuer and recipient.
  • 04
Record distribution: Log allocations and reconciliation details.

Configure your online signing workflow

Set clear routing, authentication, and field rules before sending to avoid rework and failed deliveries.

Field Configuration
Routing order Sequential signer order or parallel delivery
Authentication Email link + optional SMS or KBA
Conditional fields Show vesting schedule only if restricted
Retention Enable audit trail and export PDF/A

Typical eSubmission and distribution flow

This sequence shows the common path from agreement creation to completed allocation records.

  • Upload and prepare: Upload the agreement and place fields.
  • Assign signers: Add email addresses and roles.
  • Authenticate signers: Use email, SMS, or enhanced methods.
  • Complete and archive: Signed PDF and audit trail are stored.

Technical considerations for eSigning and delivery

Choose a platform that supports the file formats, authentication level, and retention required by your compliance program.

  • File formats: PDF, DOCX, and HTML are commonly supported for signed output.
  • Integrations: Connectors to Salesforce, NetSuite, Google Workspace, Box, and Procore streamline record linking.
  • Authentication: Options range from email-only to SMS codes, KBA, and SSO.

Verify the vendor supports audit trails, export in ISO PDF formats, and any required BAAs or regulatory controls before processing sensitive distributions.

Essential clauses to include in a professional Air Drops Agreement

A well-structured agreement balances operational detail with clear legal protections — include definitions, allocation mechanics, and compliance language.

Parties

Identify full legal names and roles for issuer and recipient, including authorized signing representatives and contact information for notices and tax reporting.

Definitions

Define key terms—asset type, 'Distribution Date', 'Vesting', 'Clawback', and any technical identifiers such as token symbol or serial numbers.

Allocation mechanics

Specify quantities, unit measures, rounding rules, and who bears transfer costs or network fees if applicable.

Eligibility and conditions

State qualifying conditions, required attestations, KYC/AML checks, and procedures for disputed eligibility.

Transfer restrictions

Include resale limitations, lock-up periods, and consequences for early transfer or breach, plus any securities-law disclaimers.

Representations and warranties

Each party warrants authority to enter the agreement, accuracy of information provided, and compliance with applicable laws.

Required identification and record fields

Issuer name: Legal entity name
Recipient name: Full legal name
Tax ID: EIN or SSN/TIN
Delivery ID: Wallet address or delivery SKU
Quantity: Number/units
Effective date: MM/DD/YYYY

Principal legal and compliance risks

Securities exposure: Distribution may trigger SEC review
Tax liability: Recipients may owe income tax
KYC/AML gaps: Potential BSA compliance violations
Incorrect data: Misdelivered assets or backup withholding
Unauthorized transfer: Loss from compromised keys or credentials
Recordkeeping failures: Audit gaps and enforcement risk

Common preparation mistakes to avoid

  • Using informal language that leaves vesting or clawback unclear, creating enforceability disputes post distribution.
  • Collecting incomplete recipient identifiers (e.g., wrong wallet address) and failing to verify before execution.
  • Skipping tax and regulatory review for distributions that may be treated as income or securities.
  • Overlooking consent language for electronic records and signatures, which can complicate cross-jurisdictional enforceability.

Who typically signs and their roles

Issuer — General Counsel

The issuer's authorized representative (often General Counsel or Chief Compliance Officer) reviews terms, confirms authority, and signs on behalf of the entity with responsibility for tax and regulatory compliance.

Recipient — Individual or Entity

The recipient or authorized signatory confirms identity, accepts allocation terms, and acknowledges any tax or transfer restrictions; their signature creates a binding record of consent.
