AIRLINE TRAVEL AGREEMENT

Parties

This Airline Travel Agreement (the Agreement) is entered into on between Passenger Name: (Passenger) and Carrier Name: (Carrier).

Recitals

WHEREAS, Carrier is duly authorized to provide air transportation and related services for persons and property on scheduled or charter flights; and

WHEREAS, Passenger seeks transportation services from Carrier between the locations and on the itinerary set forth in this Agreement, subject to the terms, conditions, and limitations set forth below; and

WHEREAS, the parties desire to set forth their respective rights, obligations, payment terms and liability limitations in a written agreement.

Scope of Work

Carrier shall provide air transportation and related services to Passenger in accordance with the confirmed itinerary, fare class and rules. Carrier's obligations include carriage of Passenger and permitted baggage, issuance of boarding documentation, and the provision of services standard to the fare purchased.

Payment Terms

Total Fare Amount: $    Deposit Amount: $

Late Payment Fee: % per month on overdue amounts, calculated monthly, plus all reasonable collection costs and attorneys' fees incurred by Carrier to recover unpaid amounts.

All amounts are payable in U.S. dollars unless otherwise agreed in writing. Taxes, airport fees, fuel surcharges and other government-imposed charges may be invoiced in addition to the Total Fare Amount.

Cancellations, Changes and Refunds

Passenger may cancel or request changes in accordance with the fare rules applicable to the ticket issued. Refunds, if any, will be processed in accordance with such fare rules and Carrier’s published policies. Carrier may assess cancellation or change fees as specified in the confirmed fare conditions.

Carrier reserves the right to cancel, delay, reroute, substitute aircraft, or change schedules for operational or safety reasons. In such events, Carrier will use commercially reasonable efforts to accommodate Passenger on alternative flights but shall not be liable for consequential losses except as expressly provided in this Agreement.

Either party may terminate this Agreement for convenience upon written notice to the other party provided not less than days prior to the desired termination date. Either party may terminate immediately for material breach by the other party if such breach is not cured within 15 days after written notice. Termination shall not relieve Passenger of liability for amounts owed for services performed or reserved prior to termination.

Confidentiality

Each party shall keep confidential all non-public business, technical, passenger and operational information obtained under this Agreement and shall not disclose such information to third parties except to its employees, advisors or subcontractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. This obligation shall survive termination of this Agreement for a period of two (2) years.

Limitation of Liability and Indemnification

Except as otherwise required by applicable mandatory law, Carrier's liability for loss, damage or delay of Passenger or baggage shall be limited to the amounts expressly provided in Carrier's tariffs and applicable law. In no event shall Carrier be liable for indirect, incidental, special, exemplary or consequential damages, including loss of business or lost profits.

Passenger agrees to indemnify, defend and hold Carrier harmless from and against any claims, losses or liabilities arising out of Passenger's breach of this Agreement, Passenger's unlawful act, or misrepresentation of material facts required for travel.

Passenger Responsibilities

Passenger shall hold and produce valid travel documents, including passports, visas, health certifications and any other authorizations required by destination or transit jurisdictions. Carrier shall not be liable for Passenger's failure to obtain or carry required documents. Passenger is responsible for compliance with check-in times and security procedures.

Force Majeure

Neither party shall be liable for failure or delay in performance to the extent caused by events beyond such party’s reasonable control, including acts of God, governmental action, labor disputes, war, insurrection, pandemic, fire, flood, or severe weather. The affected party shall provide prompt notice to the other and shall use commercially reasonable efforts to resume performance.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its choice of law principles. Venue for any dispute arising under this Agreement shall lie in the courts located in that state unless otherwise agreed in writing by the parties.

Entire Agreement

This Agreement, together with the confirmed itinerary, fare rules and any annexes executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior or contemporaneous agreements, proposals and communications, whether oral or written. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and shall not affect interpretation. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
