What the Airport Facility Management Contract Is

An Airport Facility Management Contract is a written agreement that defines responsibilities, performance standards, and liabilities for managing airport infrastructure and related services. It covers areas such as facility maintenance, security screening support, terminal services, utilities, janitorial and groundskeeping, equipment maintenance, and contractor coordination. The contract specifies deliverables, service levels, inspection schedules, staffing obligations, reporting requirements, insurance, indemnities, and payment terms. It is used between an airport authority, municipal owner, or terminal operator and a service provider to allocate risk and set measurable expectations throughout the contract term.

Why a Clear Contract Matters for Airports

A clear, comprehensive contract reduces operational ambiguity, sets measurable service levels, and protects public safety and assets while assigning legal responsibility for failures and delays.

Why a Clear Contract Matters for Airports

Who Typically Prepares and Signs This Agreement

Airport authorities, municipal procurement teams, facility management firms, and specialized contractors are the primary parties involved in preparing and executing these contracts.

  • Airport operations departments and procurement teams who manage vendor selection and compliance.
  • Facility services contractors responsible for daily maintenance, staffing, and reporting obligations.
  • Legal and risk teams reviewing indemnities, insurance, and regulatory compliance language.

Financial, legal, and operations teams review terms; signatory authority typically rests with an authorized contracting officer or corporate officer, depending on the party.

Authorized Signers and Typical Roles

Airport Contracting Officer

An appointed contracting officer or procurement director with delegated authority to bind the airport authority; typically reviews deliverables, approves amendments, and enforces performance remedies.

Service Provider Executive

An officer or designated representative of the facility management company authorized to accept terms and sign on behalf of the vendor; responsible for operational compliance and vendor performance.

Core Sections to Include in a Professional Contract

A strong Airport Facility Management Contract organizes responsibilities, measurable standards, and legal protections so both parties know obligations and enforcement steps.

Scope of Work

Detailed description of services, locations, excluded items, hourly coverage, and specific tasks such as runway lighting, HVAC, baggage areas, and terminal concourse maintenance with measurable deliverables.

Service Levels

Performance standards and KPIs (response time for faults, cleaning frequency, uptime targets), measurement methods, reporting cadence, and credits or liquidated damages for missed targets.

Compliance Requirements

Statutory and regulatory obligations including FAA rules, local building codes, environmental permits, security screening coordination, and any industry-specific certifications the vendor must maintain.

Insurance & Liability

Minimum insurance limits, additional insured requirements, indemnity allocation, waiver of subrogation, and procedures for claims and defense responsibilities.

Payment & Pricing

Contract price, invoicing schedule, allowable expenses, escalation clauses, retainage if any, and audit rights for expense verification and performance-based payments.

Termination & Remedies

Termination for convenience and cause, cure periods, transition requirements, data return, and dispute resolution (mediation, arbitration, or litigation venue).

Frequent Drafting and Execution Mistakes

  • Vague scope language that leaves critical tasks unspecified and leads to disputes over who is responsible for specific maintenance activities.
  • Missing performance metrics or ambiguous service-level definitions that prevent objective measurement of vendor compliance and enforcement of remedies.
  • Failure to require proof of insurance or certificates of insurance before work begins, exposing the airport to uninsured liabilities.
  • Not defining acceptance or inspection procedures for completed work, which complicates payment, dispute resolution, and warranty enforcement.

How to Execute an Airport Facility Management Contract

Follow a structured process from drafting through approvals to minimize delays and limit legal exposure while ensuring continuity of operations.

  • 01
Draft: Outline scope, KPIs, insurance, and pricing.
  • 02
Review: Legal and operations teams validate compliance.
  • 03
Authorize: Obtain signatures from authorized officers.
  • 04
Implement: Handover operations and begin monitoring KPIs.

Where to Send or File the Executed Contract

Execution routes should be defined in the contract and follow procurement and records-retention procedures for the airport authority and the vendor.

  • Airport Authority: Original executed contract retained by the authority's legal or procurement office.
  • Service Provider: Vendor retains a signed copy and required insurance certificates.
  • Procurement Records: File contract with procurement system for audit and lifecycle tracking.
  • Regulatory Filings: Submit to oversight bodies only if required by local procurement rules.
